Approvals. Except for those that have been obtained and assuming the accuracy of the representations and warranties made by [[Organization B:Organization]] in Section 3 of this Agreement, no consent, approval, qualification, order or authorization of, or designation, declaration or filing with, any Governmental Authority on the part of [[Organization A:Organization]] is required in connection with the valid execution and delivery of this Agreement, or the consummation of the transactions contemplated hereunder.

Approvals. Assuming the accuracy of the representations and warranties made by [[Organization A:Organization]] in Section 4 of this Agreement, no consent, approval, qualification, order or authorization of, or designation, declaration or filing with, any Governmental Authority on the part of [[Organization B:Organization]] is required in connection with the valid execution and delivery of this Agreement, or the consummation of the transactions contemplated hereunder.

Except for, if applicable, the Second Step Regulatory Approval, no consent, approval, order or authorization of, or registration, declaration or filing with, any Governmental Authority or other individual or entity is required to be made or obtained by [[Organization B:Organization]] or in connection with [[Organization B:Organization]]’s authorization, execution and delivery of this Agreement, the performance by [[Organization B:Organization]] of [[Organization B:Organization]]’s obligations hereunder, and the consummation by [[Organization B:Organization]] of the transactions contemplated hereby.

Consents and Approvals. Except as set forth with respect to [[Organization A:Organization]] on [Schedule 3.04], [[Organization A:Organization]]’s execution, delivery or performance of this Agreement does not and will not require any consents or approvals of, filings with, or action by any third party.

Except for the Regulatory Approval (and, if applicable, the Second Step Regulatory Approval), no consent, approval, order or authorization of, or registration, declaration or filing with, any Governmental Entity or other individual or entity is required to be made or obtained by [[Organization A:Organization]] or [[Organization A:Organization]] US in connection with [[Organization A:Organization]]’s or [[Organization A:Organization]] US’s execution and delivery of this Agreement, the performance by each of [[Organization A:Organization]] or [[Organization A:Organization]] US of its obligations hereunder, and the consummation by [[Organization A:Organization]] and [[Organization A:Organization]] US of the transactions contemplated hereby.
