Agency for Perfection. Each Lender hereby appoints each other Lender as agent for the purpose of perfecting the Lenders’ security interest in assets which, in accordance with [Article 9] of the Code, can be perfected only by possession. Should any Lender (other than Agent) obtain possession of any such Collateral, such Lender shall notify Agent thereof, and, promptly upon Agent’s request therefor shall deliver such Collateral to Agent or in accordance with Agent’s instructions.

Agency for Perfection. Each Lender hereby appoints Agent and each other Lender as agent and bailee for the purpose of perfecting the Lenders’ security interestinterests in and liens upon the Collateral in assets which, in accordance with [Article 9] of the Code, can be perfected only by possession.possession or control (or where the security interest of a secured party with possession or control has priority over the security interest of another secured party) and Agent and each Lender hereby acknowledges that it holds possession or control of any such Collateral for the benefit of the Agent as secured party. Should any Lender (other than Agent) obtain possession or control of any such Collateral, such Lender shall notify the Agent thereof, and, promptly upon Agent’the Agent’s request therefor shall deliver possession or control of such Collateral to the Agent or in accordance with Agent’the Agent’s instructions. Borrower by its execution and delivery of this Agreement hereby consents to the foregoing.

Agency for Perfection. Each Lender hereby appoints Administrative Agent and each other Lender as agent and bailee for the purpose of perfecting the Lenders’ security interestinterests in and liens upon the Collateral of Administrative Agent in assets which, in accordance with [Article 9] of the Code,UCC can be perfected only by possession.possession (or where the security interest of a secured party with possession has priority over the security interest of another secured party) and Administrative Agent and each Lender hereby acknowledges that it holds possession of any such Collateral for the benefit of Administrative Agent as secured party. Should any Lender (other than Agent) obtain possession of any such Collateral, such Lender shall notify Administrative Agent thereof, and, promptly upon Administrative Agent’s request therefor shall deliver such Collateral to Administrative Agent or in accordance with Administrative Agent’s instructions.

SECTION #Appointment for Perfection. Each Lender hereby appoints each other Lender as its agent for the purpose of perfecting Liens, for the Lenders’ security interestbenefit of the Administrative Agent and the other Secured Parties, in assets which, in accordance with [Article 9] of the Code,UCC or any other applicable law can be perfected only by possession.possession or control. Should any Lender (other than the Administrative Agent) obtain possession or control of any such Collateral, such Lender shall notify the Administrative Agent thereof, and, promptly upon the Administrative Agent’s request therefor shall deliver such Collateral to the Administrative Agent or otherwise deal with such Collateral in accordance with the Administrative Agent’s instructions.

Possession of Collateral Agent and Secured Parties appoint each other Lender as agent (for the benefit of Secured Parties) for the purpose of perfecting Liens in any Collateral held or controlled by such Lender, to the Lenders’ security interest in assets which, in accordance with [Article 9] of the Code, can beextent such Liens are perfected only by possession.
