Cooperation. Executive agrees that both during and after his employment, he shall, at ​’s request, render all assistance and perform all lawful acts that ​ considers necessary or advisable in connection with any litigation involving ​ or any of its directors, officers, employees, shareholders, agents, representatives, consultants, clients, customers or vendors. Executive understands and agrees that ​ will reimburse him for any reasonable documented expense he incurs related to this cooperation and assistance, but will not be obligated to pay him any additional amounts.

Cooperation. Cooperation With Legal Matters: Executive agrees that after the Effective Date, he will cooperate with and assist ​, upon request and with reasonable notice, by providing information relevant to matters he gained knowledge of or was involved with while employed by meeting with ​’s attorneys or other representatives on such matters, and by appearing voluntarily for hearings, depositions, trials, or any regulatory or legal proceedings related to such matters. Executive understands that ​ will reimburse him for any reasonable expense he incurs related to this cooperation and assistance, but will not be obligated to pay him any additional amounts.

Cooperation. During the term of the Executive’s employment by the Company and following the termination of the Executive’s employment with the Company, taking into account the Executive’s other reasonable personal and professional commitments, the Executive agrees to reasonably assist the Company and its representatives and agents with any business, investigation and/or litigation (or potential litigation) matters affecting or involving the Company relating to Executive’s period of employment. The Company will reimburse the Executive for all associated reasonable costs of travel.

Cooperation. Executive agrees that both during and after his employment, he shall, at ​’s request, render all assistance and perform all lawful acts that ​ considers necessary or advisable in connection with any litigation involving ​ or any of its directors, officers, employees, shareholders, agents, representatives, consultants, clients, customers or vendors. Executive understands and agrees that ​ will reimburse him for any reasonable documented expense he incurs related to this cooperation and assistance, but will not be obligated to pay him any additional amounts.

Executive agrees to cooperate with ​, during the Term of Employment and thereafter (including following termination of Executive's employment for any reason), by making himself reasonably available to testify on behalf of ​ or any Subsidiary in any action, suit, or proceeding, whether civil, criminal, administrative, or investigative, and to assist ​, or any Subsidiary, in any such action, suit, or proceeding, by providing information and meeting and consulting with the Board or its representatives or counsel, or representatives or counsel to ​, or any Subsidiary as reasonably requested. ​ agrees to reimburse Executive for all expenses actually incurred in connection with his provision of testimony or assistance.

Cooperation. Executive agrees to cooperate with the Company and its attorneys in connection with any and all lawsuits, claims, investigations, or similar proceedings that have been or could be asserted at any time arising out of or related in any way to Executive's employment by the Company or any of its subsidiaries.

Cooperation. The parties agree that certain matters in which the Executive will be involved during the Term may necessitate the Executive’s cooperation in the future. According, to the extent reasonably requested by the Board, the Executive shall cooperate, in a reasonable manner and at the expense of the Company, with the Company and its attorneys, both during and after the termination of Executive’s employment, regardless of reason, in connection with any litigation or other proceeding arising out of or relating to matters in which the Executive was involved prior to the termination of Executive’s employment so long as such cooperation does not materially interfere with the Executive’s employment or consulting. In the event that such cooperation is required after the termination of the Executive’s employment with the Company and its Affiliates or Subsidiaries, the Company shall reimburse the Executive for reasonable expenses incurred in connection with such cooperation, provided that such expenses are approved in advance by the Company after presentation by the Executive of reasonable documentation related thereto.
