Government Cooperation. Nothing in this Agreement prohibits Pennypacker from cooperating with any government agency, including the National Labor Relations Board or the Equal Employment Opportunity Commission, or any similar State agency. Further, Pennypacker understands that nothing in this Agreement (including any obligation in paragraphs 5, 6 or 10, or their subparagraphs) prohibits him from reporting a possible violation of federal, state, or local law or regulation to any governmental agency or entity, including but not limited to the Department of Justice, the Securities and Exchange Commission, the Congress, or any agency (including but not limited to the National Labor Relations Board or the Equal Employment Opportunity Commission) or Inspector General, or making other disclosures that are protected under any whistleblower provision of federal, state, or local law or regulation. Further, Pennypacker does not need the prior authorization of the Company to make any such reports or disclosures and he is not required to notify the Company that he made such reports or disclosures.

Government Rights. To the Knowledge of the Seller, no funding, facilities or personnel of any Governmental Body or any public or private university, college or other educational or

Notify [[Organization B:Organization]] immediately if any of its Receivables arise out of contracts between any Loan Party and # the United States, any state, or any department, agency or instrumentality of any of them, and # Canada or any department, agency, instrumentality or crown corporation thereof.

Government Receivables. The account debtor is not the United States or any agency or department thereof.

The Plan, and the grant and exercise of Options or Restricted Stock hereunder, and the obligation of the Company to sell and deliver shares under such Options and Restricted Stock shall be subject to all applicable laws, rules and regulations, and to such approvals by any governmental agencies, national securities exchanges and interdealer quotation systems as may be required.

Government Filings. ​. As soon as reasonably practicable after a request from TerrAscend, the Company shall use commercially reasonable efforts to # ​, # obtain all required Authorization, # ​ and # maintain the Authorization, in each case, so as to enable TerrAscend to convert the Non-Voting Shares into Class A Shares.

Government Contact. Farmee shall not contact the Government in relation to this Agreement or the Contract without Farmor’s prior consent.

Government Examinations. Except for routine examinations conducted by any Governmental Authority in the regular course of the business of the Permal Entities or as disclosed on Section 5.12(c) of the Permal Disclosure Schedule, # no Governmental Authority has initiated any Action (or no such Action into the business or operations of the Permal Entities is ongoing, unresolved or, to the Knowledge of the Permal Contributor, threatened by any Governmental Authority) against any Permal Entity, its officers, directors, partners or employees and # none of the Permal Entities or any of their Affiliates has received at any time in the past five (5) years any notice, deficiency letter or communication # of any unresolved violation or exception by any Governmental Authority with respect to any report or statement by any Governmental Authority relating to any examination of the Permal Entities or # restricting or disqualifying their activities (except for restrictions generally imposed by Law or administrative policy on similarly regulated Persons generally).

Development Reports. Licensee shall provide Merck with reasonably detailed reports describing its progress with respect to its Development efforts under this Agreement (hereinafter “Development Reports”). Such Development Reports shall be furnished annually until the First Commercial Sale. Each Development Report shall include the following information for the Licensed Product: a description of the Development work conducted during the year in reasonable detail, including clinical studies, formulation work, manufacturing work, and other testing work and regulatory activity; timelines for such work; and key decision gates and milestones anticipated for such work. All Development Reports created by Licensee shall be deemed the Proprietary Information of Licensee and are subject to the confidentiality obligations of Article IX.
