In case of any dispute arising among the Parties hereto with respect to the interpretation and performance of the terms hereunder, the Parties shall settle such dispute in good faith through negotiations. If such negotiations fail, any Party may submit such dispute to Shanghai International Economic and Trade Arbitration Commission for arbitration in accordance with its arbitration rules then in effect. The arbitration shall take place in Shanghai and the language to be used in the arbitration shall be Chinese. The arbitration award shall be final and binding on the Parties. This [Section 7.1] shall survive the termination or expiration of this Agreement.

Any dispute arising among the Parties hereto with respect tofrom the interpretation and performance of any provision under this Agreement shall be amicably settled through consultations between the terms hereunder,Parties. In the event that the Parties shall settle such dispute in good faith through negotiations. If such negotiations fail, anyare unable to reach an agreement within 30 days from the occurrence of the dispute, either Party may submit such dispute to ShanghaiChina International Economic and Trade Arbitration Commission for arbitration in accordance with itsthe arbitration rules thereof then in effect. The place of arbitration shall take placebe in ShanghaiBeijing, and the language to be used in the arbitration shall be Chinese. The award of arbitration award shall be final and equally binding on the Parties. This [Section 7.1] shall survive the termination or expirationParties of this Agreement.

In case ofthe event any dispute arising amongarises out of performance of this Agreement, the Parties hereto with respect tomay negotiate for resolution; if the interpretation and performance of the terms hereunder, the Parties shall settle such dispute in good faith through negotiations. If such negotiations fail,negotiation fails, any Party may submit suchthe dispute to Shanghaithe China International Economic and Trade Arbitration Commission located in Beijing for arbitration in accordance with its arbitration rules then in effect. The arbitration shall take place in Shanghairesolution by arbitration, and the language to be used in theof arbitration shall be Chinese. The arbitration award shall be final and binding on the Parties. This [Section 7.1] shall survive the termination or expiration of this Agreement.

Any dispute, controversy or claim arising from, or in connection with, this Agreement or the performance, interpretation, breach, termination or validity of any dispute arising among the Parties hereto with respectthis Agreement shall be settled through friendly negotiation. Such negotiation shall start immediately after one Party to the interpretation and performancedispute has delivered to other Parties a written notice for requesting negotiation, in which notice the specific dispute or claims shall be specified. If such dispute fails to be settled within thirty (30) days of the terms hereunder,delivery of the Partiessaid notice, either Party shall settle such dispute in good faith through negotiations. If such negotiations fail, any Party mayhave the right to submit such dispute to Shanghaiarbitration. The Parties agree to submit such dispute to China International Economic and Trade Arbitration Commission for arbitration in accordance with its arbitration rules then in effect. The arbitration shall take place in Shanghai and the language to be used inof the arbitration shall be Chinese.Shanghai. The arbitrationarbitral award shall be final and legally binding on the Parties. This [Section 7.1]The arbitration commission shall survivehave the terminationright, in respect of Party B or expirationParty B’s equity interests, property interests or other assets, to award to indemnify or compensate Party A against the losses suffered by Party A due to the breach by other Parties hereto, or issue relevant injunctive (for the purpose of this Agreement.operation of business or compulsory transfer of assets), or award to dissolve and liquidate Party B. After the arbitral award becomes effective, any Party has the right to apply to the competent court for enforcing the arbitral award.
