Governing Law, Jurisdiction, and Venue. This Agreement shall be governed by Florida law. The state and federal courts of Florida have jurisdiction; and venue for mediation, litigation and all other proceedings shall be located in Palm Beach County, Florida.

Jurisdiction, Venue, Governing Law. Personal jurisdiction over the parties may be properly exercised, and exclusive venue for any action arising out of or related to this Agreement shall be in the state and federal courts of Palm Beach County, Florida. Florida law shall govern the validity, construction, enforcement of, and all other matters relating to this Agreement, including the remedies available for its breach.

This Agreement shall be construed pursuant to the laws of the State of Florida. In the event of a dispute, jurisdiction and venue shall lie in Palm Beach County, Florida; and, the prevailing party shall be entitled to reasonable attorney fees and costs.

Applicable Law. This Agreement shall be governed exclusively by its terms and by the laws of the State of Florida. The parties acknowledge and agree that the 15th Judicial Circuit in Florida, Palm Beach County, Florida, shall be the venue and exclusive proper forum in which to adjudicate any case or controversy arising either, directly or indirectly, under or in connection with this Agreement and the parties further agree that, in the event of litigation arising out of or in connection with this Agreement in these courts, they will not contest or challenge the jurisdiction or venue of these courts.

Governing Law and Venue: This Agreement shall be governed exclusively by the laws of the State of Florida. Each of the parties to this Agreement irrevocably and unconditionally: # agrees that any suit, action or other legal proceeding arising out of or relating to this Agreement shall be brought in the circuit court located in Miami-Dade County, Florida or the court of the United States, Southern District of Florida; # consents to the jurisdiction of each such court located in any such suit, action or proceeding; and # waives any objection which such party may have to the laying of venue of any such suit, action or proceeding in any of such courts. Notwithstanding the foregoing, any claim for injunctive relief may be filed in any venue of competent jurisdiction.
