“Tax(es)” means any applicable services, sales, use, excise, goods, property, goods and services, value added (including proxy value added taxes), withholding, or other taxes or duties, whether international, national, state or local, which are levied or imposed by reason of the provision of the Services, excluding taxes on Medidata’s net income.

Taxes. The MLP shall be responsible for all applicable Taxes levied on items, goods or services that are sold, purchased or obtained for the provision of Services under this Agreement, including any Taxes in respect of the Services.

Procurement of Goods and Services. To the extent that DMI is permitted to arrange for contracts with third parties for goods and services in connection with the provision of the Services, DMI shall use commercially reasonable efforts # to obtain such goods and services at rates competitive with those otherwise generally available in the area in which services or materials are to be furnished, and # to obtain from such third parties such customary warranties and guarantees as may be reasonably required with respect to the goods and services so furnished.

During the Term, Services Provider shall provide (directly or through its Affiliates) to MLP or its Subsidiaries, or, with the prior written approval of MLP, shall cause another Person to provide to MLP or its Subsidiaries, the Services set forth on Exhibit A hereto.

Goods and Services Tax, Social Services Taxes, Use and Excise Taxes on goods and services purchased by the Landlord;
