Good Standing Certificates. Good standing certificates with respect to the Company and each of its Subsidiaries, from the jurisdiction of its incorporation (if obtainable from such jurisdiction) and each jurisdiction where it is qualified to conduct business, in each case, dated within ten (10) days prior to the Closing Date;

a good standing certificate (or its equivalent) for the Company and each Company Subsidiary (other than an Excluded Entity) from the secretary of state or other appropriate Governmental Entity from the state of incorporation, formation or organization, as the case may be, dated within fifteen Business Days of the Closing Date;

Good Standing Certificates. The Company shall have delivered to the Purchaser certificates from the Secretary of State of the States of Utah and any other jurisdiction in which the Company is qualified to do business dated within ten (10) days of the Closing Date, to the effect that the Company is in good standing in such jurisdiction.

Good Standing Certificate. A certificate of good standing (or, to the extent available, other equivalent certificate in any applicable Relevant Jurisdiction), including, to the extent customary in the applicable Relevant Jurisdiction, verification of tax status, of each Loan Party from the appropriate Governmental Authority of the applicable Relevant Jurisdiction in which such Loan Party is incorporated, formed or otherwise organized, dated as of a date no earlier than thirty (30) days prior to the Closing Date;
