Good Standing Certificate. FDOC shall have delivered to [[Organization A:Organization]] a certificate of good standing of FDOC dated within two (2) business days of Closing issued by the Secretary of State of Delaware.

Certificate of Good Standing. The Administrative Agent shall have received a certificate as of a recent date of the good standing of the Borrower under the laws of its jurisdiction of organization.

Good Standing Certificates. The Company shall have delivered to Buyer a certificate issued by the Secretary of State of Florida, evidencing the good standing of the Company in Florida as of a date not more than ten (10) calendar days prior to the Closing Date.

Due Incorporation and Good Standing. AVRS is a corporation duly organized, validly existing and in good standing under the laws of the state of Nevada.

Petro shall deliver to Fortis a recently dated certificate of good standing (or equivalent) of the Company from the Secretary of State of the State of Delaware.

Corporate Charter and Good Standing Certificates. The Administrative Agent shall have received: # an original certified copy of the Certificate or Articles of Incorporation or equivalent formation document of the Borrower and any and all amendments and restatements thereof, certified as of a recent date by the relevant Secretary of State; # an original good standing certificate for each Credit Party from the Secretary of State of the state of its incorporation or formation, dated as of a recent date, listing all charter documents affecting such Credit Party and certifying as to the good standing of such Credit Party; and # copies of the Certificate or Articles of Incorporation or equivalent formation document of each Credit Party and any and all amendments and restatement thereof, certified by the Secretary (or equivalent officer) of such Credit Party.

Officers' Certificate. Sellers shall have furnished to [[Organization A:Organization]] a certificate, dated the date of the Closing and signed by the Manager of WESTERN stating that the conditions set forth in Sections 5.02(a) and (b) have been fulfilled, and attach a good standing certificate for WESTERN.

Good Standing Certificate(s) with respect to Borrower from Borrower’s state of incorporation and principal place of business, if different, (each) as of a date acceptable to Agent.
