“GRI Standard” means the Global Reporting Initiative Sustainability Reporting Standards (2016) published by the Global Reporting Initiative.

“S&P” means S&P Global Ratings, a division of S&P Global, Inc., and its successors.

“Global Tranche Revolving Loans” means Loans made by the Global Tranche Lenders pursuant to [Section 2.01(a)].

THE COMPANIES listed in Part A of [Schedule 1] to the Facility Agreement (as defined below) as joint and several owner guarantors and joint and several hedge guarantors (the "Owner Guarantors")

Global Tranche Revolving Credit Exposure of any Global Tranche Lender shall not exceed its Global Tranche Commitment and # the portion of the Aggregate Revolving Credit Exposure attributable to Loans made to and Letters of Credit issued for the accounts of Borrowing Subsidiaries that are Foreign Subsidiaries shall not exceed US$400,000,000.

SECTION # Classification of Loans and Borrowings. For purposes of this Agreement, Loans may be classified and referred to by Class (e.g., a “Global Tranche Revolving Loan”) or by Type (e.g., a “LIBOR Revolving Loan”) or by Class and Type (e.g., a “Global Tranche LIBOR Revolving Loan”). Borrowings also may be classified and referred to by Class (e.g., a “Global Tranche Borrowing”) or by Type (e.g., a “LIBOR Borrowing”) or by Class and Type (e.g., a “Global Tranche LIBOR Borrowing”).

Investments # by the Borrower and the Subsidiary Guarantors in the Borrower and the Subsidiary Guarantors and # by Subsidiaries of the Borrower that are not Guarantors in the Borrower or any of its Subsidiaries;
