Each “Employee” (as defined below in this [Section 4]), except as described in the next paragraph, will become eligible to participate in the Plan in accordance with [Section 5] hereof on the first “Enrollment Date” (as defined in [Section 5] hereof) coincident with or next following employment with the Company. Participation in the Plan is voluntary.

General Eligibility. All current and prospective Eligible Individuals are eligible to be granted Awards. Eligibility for the grant of Awards and actual participation in the Plan shall be determined by the Committee in its sole discretion, subject to the terms of the Plan, including, without limitation, [Section 4.1].

General Requirements. Unless Landlord and Tenant otherwise agree in writing, Tenant shall # procure or cause others to procure on its behalf all necessary permits before undertaking any Alterations in the Premises (and provide copies thereof to Landlord); # perform all of such Alterations in a good and workmanlike manner, employing materials of good quality and in compliance with Landlord’s construction rules and regulations, all insurance requirements of this Lease, and Legal Requirements; and # defend, indemnify and hold the Landlord Parties harmless from and against any and all Claims occasioned by or growing out of such Alterations.

General Requirements. All insurance policies required to be carried by Tenant (except Tenant’s Personal Property insurance) hereunder shall conform to the following requirements:

The Committee may designate additional Participants. Participants are separately notified of their eligibility to participate in the Plan. If an individual is in a Covered Management Position at any point during the Performance Period, then such individual will not be eligible for an award or payment under this Plan. The Committee’s eligibility determination shall be final and binding for all purposes.

Except as provided in [subsection (b), (c), (d), (e), (f) or (g)])])])])])] hereof, every Covered Employee will become an Active Participant on the Entry Date coincident with or next following the date that is such Employee’s 1-month anniversary of the date he or she first became employed by an Affiliate, provided he or she is a Covered Employee on such Entry Date.

General Eligibility. You shall only be eligible for benefits under this Plan if: # either # your position with the Company is above the Vice President level or # you were hired by the Company before January 1, 2022, # immediately prior to a Triggering Event, you are an employee of the Company and are not subject to an ongoing performance improvement plan (a “Covered Employee”), and # you are notified by the Company in writing that you are eligible for severance benefits under the Plan as a result of a Triggering Event.
