Each Employee” (as defined below in this [Section 4]), except as described in the next paragraph, will become eligible to participate in the Plan in accordance with [Section 5] hereof on the first “Enrollment Date” (as defined in [Section 5] hereof) coincident with or next following employment with the Company. Participation in the Plan is voluntary.

General Eligibility. All current and prospective Eligible Individuals are eligible to be granted Awards. Eligibility for the grant of Awards and actual participation in the Plan shall be determined by the Committee in its sole discretion, subject to the terms of the Plan, including, without limitation, [Section 4.1].

General Requirements. Unless Landlord and Tenant otherwise agree in writing, Tenant shall # procure or cause others to procure on its behalf all necessary permits before undertaking any Alterations in the Premises (and provide copies thereof to Landlord); # perform all of such Alterations in a good and workmanlike manner, employing materials of good quality and in compliance with Landlord’s construction rules and regulations, all insurance requirements of this Lease, and Legal Requirements; and # defend, indemnify and hold the Landlord Parties harmless from and against any and all Claims occasioned by or growing out of such Alterations.
