The date, time and location of the arbitration, which shall be mutually and reasonably agreed upon by ​ and ​, taking into consideration the schedules of the Neutral Arbitrator, the Advocate Arbitrators, ​ and ​, and each party’s applicable consultants, which date shall in any event be within forty-five (45) days following the appointment of the Neutral Arbitrator;

Within ten (10) days following the appointment of the Neutral Arbitrator, ​ and ​ shall enter into an arbitration agreement (the “Arbitration Agreement”) which shall set forth the following:

That ​ and ​ shall each have the right to submit to the Neutral Arbitrator (with a copy to the other party), on or before the date that occurs fifteen (15) days following the appointment of the Neutral Arbitrator, an advocate statement (and any other information such party deems relevant) prepared by or on behalf of ​ or ​, as the case may be, in support of ​’s or ​’s respective Exchanged Market Rents (the “Briefs”);

The two (2) Advocate Arbitrators so appointed shall be specifically required pursuant to an engagement letter within ten (10) days of the date of the appointment of the last appointed Advocate Arbitrator to agree upon and appoint a third arbitrator (“Neutral Arbitrator“) who shall be qualified under the same criteria set forth hereinabove for qualification of the two Advocate Arbitrators, except that # neither the ​ or ​ or either parties’ Advocate Arbitrator may, directly or indirectly, consult with the Neutral Arbitrator prior or subsequent to his or her appearance, and # the Neutral Arbitrator cannot be someone who has represented ​ and/or ​ during the five (5) year period prior to such appointment.
