Further Assurances. The parties hereto agree to execute such other documents and instruments and to do such other and further things as may be necessary or desirable for the execution and implementation of this amendment and the consummation of the transactions contemplated hereby and thereby.

The parties hereto shall do and perform, or cause to be done and performed, all such further acts and things, and shall execute and deliver all such other agreements, certificates, instruments and documents, as any other party may reasonably request in order to carry out the intent and accomplish the purposes of this Amendment and the consummation of the transactions contemplated hereby.

At the request of any Party, the Parties hereto shall take such reasonable actions, and execute and deliver any further instruments, agreements, or documents reasonably requested by any party to effect the purposes of the Agreement, this Amendment #1 and the transactions contemplated thereby.
