Furniture contract clause examples

Furniture. Sublandlord is the owner of certain furniture, fixtures, and equipment located within the Subleased Premises which are identified on [Exhibit C], attached hereto (the “FF&E”). Sublandlord hereby leases the FF&E to Subtenant, included in the Base Rent. The FF&E is being leased by Sublandlord in its “AS IS, WHERE IS” condition, without representation or warranty whatsoever other than that Sublandlord is the sole owner thereof. Subtenant is responsible for all maintenance and repairs to the FF&E. Subtenant shall surrender the FF&E at the expiration or earlier termination of this Sublease in the same condition it was leased, reasonable wear and tear excepted.

Furniture, Fixtures and Equipment. The parties acknowledge that Sublessee is the current occupant of the Premises, and that the Premises shall be delivered to Sublessee in its current, as-is condition, including with all of the furniture, fixtures and equipment, including cubicles, office furniture, chairs and conference room tables, currently located within the Premises (the “FF&E”). Sublessee acknowledges and agrees that the FF&E is the property of Sublessee and as such, Sublessee understands and acknowledges that Sublessor has made no representations or warranties whatsoever as to the FF&E, including no representations as to the FF&E’s condition or fitness for a particular purpose. Sublessee shall be responsible for removing the FF&E from the Premises upon the expiration or earlier termination of this Sublease, and for repairing any damage caused by such removal.

Furniture, Fixtures and Equipment. Subtenant shall have the right to use during the Term the furnishings within the Subleased Premises and the Shared Area that are identified on Exhibit C attached hereto (the “Furniture”) at no additional cost to Subtenant. The Furniture is provided in its “AS IS, WHERE IS” condition, without representation or warranty whatsoever. Subtenant shall insure the Furniture under the property insurance policy required under the Master Lease, as incorporated herein, and pay all taxes with respect to the Furniture. Subtenant shall maintain the Furniture in good condition and repair, reasonable wear and tear excepted, and shall be responsible for any loss or damage to the same occurring during the Term. Subtenant shall surrender the Furniture to Sublandlord upon the termination of this Sublease in the same condition as exists as of the Commencement Date, reasonable wear and tear excepted. Subtenant shall not remove any of the Furniture from the Subleased Premises.

Furniture. Ownership of existing furniture and network cabling in Surrender Premises, as itemized in Exhibit D attached to this Amendment, shall be transferred to Landlord in its as-is condition as of the Partial Surrender Effective Date.

The parties hereby acknowledge that the Subleased Premises currently contains certain furniture, fixtures, and equipment listed or depicted in the materials attached hereto and made a part hereof as [Exhibit C] (collectively, the “Sublandlord FF&E”). On or before July 10, 2020, Subtenant shall provide a schedule to Sublandlord setting forth all items of Sublandlord FF&E, if any, that Subtenant desires that Sublandlord remove from the Subleased Premises on or prior to the Commencement Date at no cost to Subtenant (the “Rejected Sublandlord’s FF&E Schedule”), which Rejected Sublandlord’s FF&E Schedule shall be attached hereto and made a part hereof as [Exhibit D] upon delivery to Sublandlord. Subtenant’s failure to send the required notice and Rejected Sublandlord’s FF&E Schedule by July 10, 2020 shall be deemed Subtenant’s election to keep all items of Sublandlord FF&E within the Subleased Premises during the term for Subtenant’s use. As used in this Sublease, “Accepted Sublandlord FF&E” shall mean and refer to all Sublandlord FF&E not listed on the Rejected Sublandlord’s FF&E Schedule, and “Rejected Sublandlord FF&E” shall mean and refer to all Sublandlord FF&E listed on the Rejected Sublandlord’s FF&E Schedule.

Use of Furniture. Provided no Event of Default (as defined in Section 22) has occurred and is continuing, Sub-Subtenant may utilize the furniture and equipment owned by Sub-Sublandlord and located in the Premises as of the Commencement Date (the “Furniture”) during the Sub-Sublease Term, and Sub-Sublandlord shall not remove the Furniture from the Premises during the Sub-Sublease Term, except by agreement with Sub-Subtenant. The Furniture is itemized in Exhibit B attached hereto (the “Inventory”).

Return of Furniture. The Furniture is and shall remain Sub-Sublandlord’s property during and after the Sub-Sublease Term. At the end of the Sub-Sublease Term, Sub-Subtenant shall deliver the Furniture to Sub-Sublandlord in the Premises, in the same condition as existed on the Commencement Date, reasonable wear and tear excepted. Notwithstanding the foregoing, Sub-Subtenant may remove the cubicles located in the Premises at any time during the Sub-Sublease Term and shall not be obligated to return, replace, restore or compensate Sub-Sublandlord for such cubicles.

FURNITURE AND PERSONAL PROPERTY. Sublessor grants to Sublessee at no cost and for the Term of this Sublease a license to use the furniture, fixtures and data cabling existing in the Subleased Premises as of the Commencement Date and owned by Sublessor, (the “FFE”), including, without limitation, such FFE as is more particularly described in Exhibit C, attached hereto and made a part hereof. Sublessee understands and agrees that the FFE may or may not be 100% accurately described in Exhibit C and Sublessor agrees to make its best efforts to ensure that

Furniture. Sublessee shall use and maintain the Furniture in substantially the same condition as it was in on the Commencement Date, reasonable wear and tear excepted, and shall deliver same to Sublessor in such condition at the expiration or early termination of the Sublease Term. Sublessor shall maintain ownership of the Furniture. Any furniture located in the Subleased Premises on the Commencement Date which is not listed on the list of Furniture attached to this Sublease as Exhibit C shall be removed by Sublessor at its expense. Sublessee shall reimburse Sublessor, as additional rent, for any personal property taxes Sublessor may be required to pay to the City of Boston with respect to the Furniture, such reimbursement to be made within thirty (30) days following Sublessee’s receipt of a request for such payment, along with reasonable documentation to evidence that Sublessor has paid such amount with respect to the Furniture.

FURNITURE. Prior to the Commencement Date, certain items of furniture (the “Furniture”) set forth in the furniture plan and furniture rendering provided by Pivot and dated April 8, 2021 (attached hereto as Exhibit G-1) shall be installed in the Premises at Landlord’s sole cost and expense, for Tenant’s use. Landlord makes no representations regarding the condition of the Furniture, and Tenant shall accept the Furniture in its existing “as-is” condition. Tenant shall maintain the Furniture in the same condition as when received, reasonable wear and tear excepted, and the Furniture shall remain in the Premises upon the expiration or earlier termination of the Lease.
