“Fundamental Representations” means, collectively, Seller Stockholder Fundamental Representations and the Company Fundamental Representations.

Seller and Fundamental Representations. The representations and warranties contained in Article III and the Fundamental Representations shall survive the Closing and remain in full force and effect through and including the sixth (6th) anniversary of the Closing Date.

Notwithstanding anything to the contrary contained elsewhere in this Agreement, except in cases where a Party has acted with Fraud, or except for breaches of the Seller Fundamental Representations or Buyer Fundamental Representations, as
