Effect of Force Majeure. In the event that either Crestwood Midstream, Newco or ServiceCo is rendered unable by reason of an event of Force Majeure to perform, wholly or in part, any obligation or commitment set forth in this Agreement, then upon such Party’s giving notice and full particulars of such event as soon as practicable after the occurrence thereof, the obligations of the Parties, except for unpaid financial obligations arising prior to such event of Force Majeure, shall be suspended to the extent that such Party is affected by such event of Force Majeure.

Effect of Force Majeure Termination. If the Contract is terminated as provided for in this [Article 17.0], the Parties shall have the same rights as provided under Article 21 in connection with a termination under [Article 21.0], Termination for Convenience except that there shall be no termination for convenience payment, only payment to the Contractor for Work actually performed. Effect of Force Majeure Event. Neither Party (the “Affected Party”) shall be liable to the other Party (the “Non-Affected Party”) for failure or delay to perform its obligation under the Agreement when such failure or delay is due to riots, storms, fires, explosions, floods, earthquakes, war, embargoes, blockades, insurrections, an act of God or any other cause similar thereto which is beyond the reasonable control of the Affected Party (“Force Majeure Event”). Each Party agrees to give the other Party prompt written notice of the occurrence of any Force Majeure Event, the nature thereof, and the extent to which the Affected Party will be unable fully to perform its obligations under the Agreement. If a condition constituting Force Majeure Event as defined herein exists for more than ​, the Parties shall negotiate a mutually satisfactory solution to the problem, if practicable, including termination of this Agreement upon ​ written notice from the failure of reaching a mutually satisfactory solution to the Force Majeure Event, or the use of a third-party to fulfill the obligations hereunder of the party invoking Force Majeure Event, at the expense of the party invoking Force Majeure Event.

(aaaa) FHA Loans, VA Loans and RD Loans. With respect to each FHA Loan, VA Loan and RD Loan, as applicable, # the FHA Mortgage Insurance Certificate is in full force and effect, there exists no impairment to full recovery, the VA Loan Guaranty Agreement is in full force and effect to the maximum extent stated therein and there exists no impairment to full recovery thereunder and the RD Loan Guaranty Agreement is in full force and effect to the maximum extent stated therein and there exists no impairment to full recovery thereunder, # all

the Leases are in full force and effect;

use all commercially reasonable efforts to maintain in full force and effect the FCC Licenses and, except as set forth elsewhere in this Agreement, take any action reasonably necessary before the FCC to preserve such licenses in full force and effect;

on or after the Closing Date, # for any reason this Agreement ceases to be or is not in full force and effect or # ​ shall assert that this Agreement has ceased to be or is not in full force and effect;

Effect. Except as amended hereby, the Plan shall remain in full force and effect.
