To each Borrower’s knowledge, no statement of fact made by any Borrower in this Agreement or of any Borrower or Guarantor in any of the other Loan Documents contains (or in the case of written material, at the time supplied contained) any untrue statement of material fact or omits (or in the case of such written material, at the time supplied omitted) to state any material fact necessary to make statements contained herein or therein not misleading. There is no material fact presently known to any Borrower which has not been disclosed to the Agent which adversely affects, nor as far as any Borrower can foresee, might adversely affect, any Property or any business, operations or condition (financial or otherwise) of any Borrower.

All information submitted by (or on behalf of) ​ to ​ and in all financial statements, rent rolls, reports, certificates and other documents submitted in connection with the Loan or in satisfaction of the terms thereof and all statements of fact made by ​ in this Agreement or in any other Loan Document, are accurate, complete and correct in all material respects. There is no material fact presently known to ​ or any BorrowerRestricted Party which has not been disclosed to the Agent​ which adversely affects, nor as far as any Borrower​ can foresee, might adversely affect, anythe Property or anythe business, operations or condition (financial or otherwise) of ​ or any Borrower.Restricted Party. There has been no material adverse change in any condition, fact, circumstance or event that would make any such information inaccurate, incomplete or otherwise misleading in any material respect or that otherwise materially and adversely affects or could reasonably be expected to materially adversely affect the use, operation or value of the Property or the business operations or the financial condition of ​.

There is no material fact presently known to any BorrowerBorrowers and not reflected in the financial statements provided to Bank which materially adversely affects their assets or in the future may materially adversely affect the business, property, assets or financial condition of Borrowers which has not been disclosedset forth in this Agreement, in the Loan Documents or in other documents furnished to Bank by or on behalf of Borrowers prior to the Agent which adversely affects, nor as far as any Borrower can foresee, might adversely affect, any Property or any business, operations or condition (financial or otherwise) of any Borrower.date hereof in connection with the transactions contemplated hereby.

SECTION # No Misleading Information. Theremisleading; and there is no material fact presently known to anythe Borrower whichthat the Borrower has not been disclosed to the Agent whichLender that materially adversely affects, nor asaffects or, so far as anythe Borrower can now reasonably foresee, mightwill materially adversely affect, any Propertyaffect the properties, or any business, operationsfinancial or other condition (financialof the Borrower or otherwise)the ability of any Borrower.the Borrower to perform its obligations hereunder and under the other Credit Documents.

9.2Complete Disclosure. To each Borrower’s knowledge, no statement of fact made by any Borrower in this Agreement or of any Borrower or Guarantor in any of the otherNo Loan DocumentsDocument contains (or in the case of written material, at the time supplied contained) any untrue statement of a material fact or omits (or in the case of such written material, at the time supplied omitted)relating to statea Borrower, nor fails to disclose any material fact relating to a Borrower necessary to make the statements contained herein or therein not materially misleading. There is no material fact presently known toor circumstance that any Borrower which has not been disclosedfailed to thedisclose to Agent which adversely affects, nor as far as any Borrower can foresee, might adversely affect, any Property or any business, operations or condition (financial or otherwise) of any Borrower.in writing that could reasonably be expected to have a Material Adverse Effect.

There is no material fact presently known to any Borrower which has not been disclosedwith respect to the Agent which adversely affects, nor as far as any Borrower can foresee, might adversely affect, any Property or any business, operationsoperations, Assets, or condition (financial or otherwise) of the Loan Parties for use solely in connection with the transactions contemplated by this Agreement (other than projections, pro forma financial statements and budgets and information of a general economic or industry-wide nature) contains any Borrower.untrue statement of a material fact or omits to state a material fact necessary in order to make the statements contained herein or therein, in light of the circumstances under which they were made, not materially misleading. There is no fact actually known to Borrower (other than matters of a general economic industry-wide nature) that Borrower believes reasonably could be expected to have a Material Adverse Effect on the Loan Parties, taken as a whole, that has not been disclosed herein or in such other documents, certificates, and statements furnished to Agent or any Lender for use in connection with the transactions contemplated hereby.

No statement, information, report, representation, or warranty made by Borrower or any Borrowerother Obligated Party in this Agreement or ofin any Borrowerother Loan Document or Guarantorfurnished to Administrative Agent or any Lender in connection with this Agreement or any of the other Loan Documentstransactions contemplated hereby contains (or in the case of written material, at the time supplied contained) any untrue statement of a material fact or omits (or in the case of such written material, at the time supplied omitted) to state any material fact necessary to make the statements contained herein or therein not misleading. There is no material fact presently known to any Borrower which is a Material Adverse Event, or which Borrower reasonably believes might in the future be a Material Adverse Event that has not been disclosed in writing to theAdministrative Agent which adversely affects, nor as far as any Borrower can foresee, might adversely affect, any Property or any business, operations or condition (financial or otherwise) of any Borrower.and each Lender.
