Except as Section 9.4 may otherwise provide in connection with a Change of Control, if the Participant’s employment or service with the Company terminates for any reason other than Disability or death prior to the date on which the Matching RSUs granted under this Program have vested in full, then all rights in and to any and all Matching RSUs granted pursuant to this Program that have not vested shall be forfeited upon such termination. In addition, any Matching RSUs granted pursuant to this Program shall be forfeited in the following circumstances:

Unvested Awards Canceled Upon Termination. Except as otherwise provided in an Award agreement, if the employment or service of a Participant terminates other than pursuant to [subparagraphs (i) or (ii)])] below, all unvested Awards shall be canceled immediately.

Cessation. Immediately following the admission of Purchaser as the sole member of the Blocker described in Section 2 of this Agreement, Blocker Parent does hereby cease to be a member of the Blocker and shall cease to have or exercise any right or power of a member of the Blocker.

Except as provided in the following sentence, upon your separation from service due to an involuntary termination without Cause, all of your unvested RSUs held for at least 180 days since the Grant Date will immediately vest, and all of your unvested RSUs held for less than 180 days since the Grant Date will be immediately forfeited. Upon your separation from service due to (i) disability (as defined in ​’s disability plan), (ii) an involuntary termination without Cause during the Applicable Period following a Change of Control or (iii) termination of employment for Good Reason during the Applicable Period following a Change of Control, all of your unvested RSUs will immediately vest. The RSUs vested pursuant to this paragraph, together with any related RSU dividend equivalents accrued but not yet paid, will be paid on the first business day that is at least six months and one day following the applicable separation from service (or, if earlier, within 30 days after the date of your death).

Forfeiture Upon Termination of Continuous Service Status. Notwithstanding any contrary provision of this Agreement, if Participant’s Continuous Service Status ceases for any or no reason, the then-unvested Restricted Stock Units awarded by this Agreement will thereupon be forfeited at no cost to the Company on the date of termination of Participant’s Continuous Service Status, and Participant will have no further rights with respect to those Restricted Stock Units. For the avoidance of doubt, if the Expiration Date occurs before the date of termination of Participant’s Continuous Service Status, any unvested Restricted Stock Units immediately will be forfeited.

Upon forfeiture, Participant will no longer have any rights relating to the unvested Units.

Forfeiture. Except as otherwise provided in accordance with Section 5 above, if you cease to be a Service Provider, you will forfeit all unvested Units.

all of Participant’s unvested RSUs shall vest upon the Participant’s death;

Service Termination. Except as set forth in Section 2(c) below and on [Schedule 1], upon the cessation of the Participant’s services with the Company for any reason, all unvested PSUs shall be automatically forfeited as of such cessation of services. For purposes of this PSU award, services with the Company shall include services as an employee or director of, or consultant or advisor to, the Company or to a parent or subsidiary of the Company, or any successor to the Company.

Upon termination of the Employee’s employment for Cause (as defined in the Plan), then all unvested PARSUs shall be forfeited by the Employee on the date of the Employee’s termination, except to the extent a severance plan applicable to the Employee provides otherwise. Such forfeiture shall occur regardless of whether the Employee has satisfied any applicable age and service requirements for retirement.
