“Excluded Foreign Subsidiary” means any Subsidiary of the Borrower that # is a CFC, # is a CFC Holdco, or # is a direct or indirect Subsidiary of a CFC or CFC Holdco (but excluding any Domestic Subsidiaries of any CFC Holdco).

“Excluded Foreign Subsidiary” means # any Subsidiary that is not a wholly-owned Restricted Subsidiary of the Borrower (including any Unrestricted Subsidiary), (b) (i) any Subsidiary that # is a CFC, # is a CFC Holdco, or # is a direct or indirect Subsidiary of a CFC or CFC Holdco (but excluding any Domestic Subsidiaries of any CFC Holdco).

“Excluded Foreign Subsidiary” means anyDomestic Subsidiaries that are # directly or indirectly owned by a Foreign Subsidiary of the Borrower that # is a CFC, # is a CFC Holdco, or # is a direct or indirectForeign Subsidiary of a CFC or CFC Holdco (but excluding any Domestic Subsidiaries of any CFC Holdco).Holding Companies.

“Excluded Foreign Subsidiary”Subsidiary” means # any Subsidiary of the Borrower thatImmaterial Subsidiary, # is a CFC,any CFC and # is a CFC Holdco, or # is aany direct or indirect Domestic Subsidiary of a CFC or CFC Holdco (but excluding any Domestic Subsidiaries of any CFC Holdco).Foreign Subsidiary that is a CFC.

“Excluded Foreign Subsidiary” means # any Subsidiary that is not a wholly-owned subsidiary of the BorrowerHoldings, # any Subsidiary that # is a CFC, # is a CFC Holdco, or other Foreign Subsidiary, # any FSHCO, # any Subsidiary that is prohibited by any applicable law, rule or regulation or by any contractual obligation existing on the Original Effective Date or on the date such Subsidiary is acquired (but not entered into in contemplation of the Transactions or such acquisition) from guaranteeing the Loan Document Obligations or which would require governmental consent, approval, license or authorization to do so, and # any other Subsidiary excused from becoming a Loan Party pursuant to the last paragraph of the definition of the term “Collateral and Guarantee Requirement”; provided that any Subsidiary shall cease to be an Excluded Subsidiary at such time as it is a direct or indirectwholly-owned Subsidiary of a CFC or CFC Holdco (but excluding any Domestic SubsidiariesHoldings and none of any CFC Holdco).[clauses [(b) through (e) above]] apply to it.
