For Cause. The Company may terminate Executive’s employment and this Agreement immediately without notice at any time for “Cause,” which shall mean the following:

In addition to its other termination rights set forth in this Agreement, Provider may, by giving written notice to the relevant BFA Recipient and respecting the Disengagement Assistance Period (except as modified below), terminate this Agreement with respect to any BFA Recipient as of a date specified in the notice of termination if:

Notwithstanding anything herein to the contrary, the Company may terminate Executive’s employment hereunder for cause for any one of the following reasons: # conviction of a felony, or a misdemeanor where imprisonment is imposed, # commission of any act of theft, fraud, or falsification of any employment or Company records in any material way, # Executive’s failure or inability to perform any material reasonably assigned duties after written notice from the Company of, and a reasonable opportunity to cure, such failure or inability, or # material breach of this Agreement which breach is not cured within ten (10) days following written notice of such breach. Upon termination of Executive’s employment with the Company for cause, the Company shall be under no further obligation to Executive for salary or bonus, except to pay all accrued but unpaid base salary, accrued bonus (if any) and accrued vacation to the date of termination thereof.

For purposes of this Agreement the term “Cause” is defined as: # willful misconduct or gross negligence; # theft, fraud or other illegal conduct; # sexual or other unlawful harassment; # use of illegal drugs or alcohol at any time on any property owned or leased by the Company or any RDL employment agreement the Company Station. Termination of Executive’s employment under this Section 8 will not limit the Company’s rights and remedies against Executive under this Agreement, at law or in equity.

A BFA Recipient may terminate (with respect to itself only) or BFA may terminate (on behalf of itself or any BFA Recipients) this Agreement or one or more of the Services, in whole or in part, by giving written notice to Provider, with immediate effect, subject to Article 11, if Provider:

Upon payment to the Executive of the foregoing amount, the Company shall have no further obligation or liability to or for the benefit of the Executive under this Agreement, except as required by applicable law.
