Flip Forward. Notwithstanding anything to the contrary herein or in any other Loan Document and subject to the proviso below in this paragraph, if a Term SOFR Transition Event and its related Benchmark Replacement Date have occurred prior to the Reference Time in respect of any setting of the then-current Benchmark, then Term SOFR plus the Term SOFR Adjustment will replace the then-current Benchmark for all purposes hereunder or under any Loan Document in respect of such Benchmark setting and subsequent Benchmark settings, without any amendment to, or further action or consent of any other party to, this Agreement or any other Loan Document, provided that, this [Section 2.11(c)(ii)] shall not be effective unless the Administrative Agent has delivered to the Lenders and the Borrower a Term SOFR Notice. Notwithstanding anything contained herein to the contrary, the Administrative Agent shall not be required to deliver a Term SOFR Notice after a Term SOFR Transition Event and may do so in its sole discretion. For the avoidance of doubt, any applicable provisions set forth in this [Section 2.11(c)] shall apply with respect to any Term SOFR transition pursuant to this [Section 2.11(c)(ii)] as if such forward-looking term rate was initially determined in accordance herewith including, without limitation, the provisions set forth in [Sections 2.11(c)(iii) and 2.11(c)(vii)])].

Forward Purchase. As provided in this Agreement, immediately prior to the Business Combination Closing, the Purchasers shall purchase up to $100,000,000 of Forward Purchase Securities, consisting of up to 10,000,000 Forward Purchase Shares at a price of $10.00 per Forward Purchase Share, together with an aggregate of up to 2,000,000 Forward Purchase Warrants, and each Purchaser shall severally and not jointly purchase such number of Forward Purchase Shares and Forward Purchase Warrants as set forth on such Purchaser’s signature page (the “Forward Purchase”). The Forward Purchase shall be effectuated, if at all, in one or more private placements of Forward Purchase Securities. The Forward Purchase is subject to the approval of the Company’s board of directors (“Board of Directors”). The Company and the Purchasers may determine, by mutual agreement, to increase the number of Forward Purchase Securities at any time prior to the Company’s Business Combination.

Notwithstanding anything contained herein to the contrary, the Administrative Agent shall not be required to deliver a Term SOFR Notice after a Term SOFR Transition Event and may do so in its sole discretion. For the avoidance of doubt, any applicable provisions set forth in this [Section 2.14] shall apply with respect to any Term SOFR transition pursuant to this paragraph # as if such forward-looking term rate was initially determined in accordance herewith including, without limitation, the provisions set forth in clauses # of this [Section 2.14] and in Section 1.04.

The Company shall issue and sell to the Purchaser, and the Purchaser shall purchase from the Company, 3,000,000 Forward Purchase Securities. Each Forward Purchase Security will consist of a Forward Purchase Share and a Forward Purchase Warrant, at a purchase price of $10.00 per Forward Purchase Security, or an aggregate purchase price of $30,000,000 (the “FPS Purchase Price”). No fractional Forward Purchase Warrants will be issued, and upon issuance, will be rounded down to the nearest whole number.

Budget Carry Forward. To the extent the Development Costs for a given Calendar Year are less than the Development Costs included in the Global Development Budget for such Calendar Year, because Development activities planned for such Calendar Year have been delayed to a subsequent Calendar Year, the Financial Working Group shall agree upon an appropriate adjustment to the Global Development Budget for subsequent Calendar Years to reflect such delay (but without increasing the total cumulative Development Costs under the Global Development Budget).
