Furniture, Fixtures and Equipment. The parties acknowledge that Sublessee is the current occupant of the Premises, and that the Premises shall be delivered to Sublessee in its current, as-is condition, including with all of the furniture, fixtures and equipment, including cubicles, office furniture, chairs and conference room tables, currently located within the Premises (the “FF&E”). Sublessee acknowledges and agrees that the FF&E is the property of Sublessee and as such, Sublessee understands and acknowledges that Sublessor has made no representations or warranties whatsoever as to the FF&E, including no representations as to the FF&E’s condition or fitness for a particular purpose. Sublessee shall be responsible for removing the FF&E from the Premises upon the expiration or earlier termination of this Sublease, and for repairing any damage caused by such removal.

FF&E. Subtenant shall be permitted to use the furniture, fixtures and equipment in the Premises on the Commencement Date (the “FF&E”) (which FF&E consists of a portion of the furniture, fixtures and equipment acquired by Sublandlord from the former occupant of the Premises). Sublandlord represents and warrants that all furniture, fixtures and equipment that it acquired from the former occupant of the Premises which Subtenant required to be removed from the Premises, has been, or will be, removed by Sublandlord from the Premises prior to the Effective Date. Subtenant shall maintain and repair the FF&E, but shall not be required to replace any FF&E if it wears out, and the FF&E shall remain Sublandlord’s property and shall remain in the Premises upon the expiration or sooner termination of this Sublease.

FF&E. During the Term of this Sublease, Sublandlord grants to Subtenant, free of charge and at no extra rental, the right to use all office furniture, cubicles and other related furniture, fixtures and equipment owned by Sublandlord and listed in Exhibit C (the “FF&E”), conditioned upon # Subtenant’s agreement that Sublandlord has not made and does not make any express or implied warranty or representation with respect to the merchantability thereof or its fitness for any particular purpose; the design or condition thereof; the quality or capacity thereof; workmanship or compliance thereof with the requirements of any Law, rule, specification or contract pertaining thereto; patent infringement or latent defects, and # Subtenant’s acceptance thereof on an “AS IS, WHERE IS” basis. Subtenant shall be responsible for the repair and maintenance of the FF&E, in as good a condition as when received (normal wear and tear and damage by fire or other casualty excepted) throughout the Sublease Term. Sublandlord hereby grants to Subtenant an option to purchase the FF&E for $1.00 at the end of the Term of this Sublease by providing written notice to Sublandlord at least ten (10) business days prior to the expiration of the Sublease Term. If Subtenant exercises its option to purchase the FF&E in a timely manner, then Sublandlord shall transfer title to the FF&E to Subtenant, without representation or warranty, effective as of the End Date, and Subtenant shall be responsible for the costs and expenses of removing the FF&E. If Subtenant does not elect to purchase the FF&E, then Subtenant shall leave the FF&E in the Subleased Premises at the expiration of the Sublease Term in the condition required under this Sublease (except that, if Subtenant does not elect to purchase the FF&E, Sublandlord shall have the right to remove the FF&E from the Subleased Premises during the ten (10) business day period prior to the expiration of the Sublease Term). The preceding to the contrary notwithstanding,

Notwithstanding anything to the contrary contained in the Sublease, the furniture, equipment, fixtures and similar items of personal property located in the Sublease Premises and described on [Exhibit A] attached hereto (collectively, the “FF&E”) shall remain in, and not be removed from, the Sublease Premises at any time on or prior to the Sublease Surrender Date. During the period commencing on the date hereof and ending on the Sublease Surrender Date, Subtenant shall maintain, repair and replace all FF&E so that the same shall remain in good working order and otherwise in the same condition as of the date hereof, reasonable wear and tear from normal use excepted. Subtenant agrees that after the Sublease Surrender Date, all FF&E shall be deemed abandoned by Subtenant and Sublandlord shall take possession thereof and retain the same as Sublandlord’s property.

Furniture. Sublandlord is the owner of certain furniture, fixtures, and equipment located within the Subleased Premises which are identified on [Exhibit C], attached hereto (the “FF&E”). Sublandlord hereby leases the FF&E to Subtenant, included in the Base Rent. The FF&E is being leased by Sublandlord in its “AS IS, WHERE IS” condition, without representation or warranty whatsoever other than that Sublandlord is the sole owner thereof. Subtenant is responsible for all maintenance and repairs to the FF&E. Subtenant shall surrender the FF&E at the expiration or earlier termination of this Sublease in the same condition it was leased, reasonable wear and tear excepted.
