Fixed Incremental Amount and Ratio-Based Incremental Amount. Incremental Facilities may be incurred under the Fixed Incremental Amount and/or the Ratio-Based Incremental Amount, and proceeds of any such Incremental Facility may be utilized in a single transaction by first calculating the incurrence under the Ratio-Based Incremental Amount (without inclusion of any amounts utilized pursuant to the Fixed Incremental Amount[[Company:Organization]] and then calculating the incurrence under the Fixed Incremental Amount. The Company may redesignate all or any portion of any Incremental Facility originally designated as incurred under the Fixed Incremental Amount as having been incurred under the Ratio-Based Incremental Amount so long as, at the time of such redesignation, the Borrowers would be permitted to incur the aggregate principal amount of Indebtedness being so redesignated under the Ratio-Based Incremental Amount (which, for the avoidance of doubt, shall have the effect of increasing the Fixed Incremental Amount by the amount of such redesignated Incremental Facility[[Company:Organization]].

Permitted Incremental Amount” means the sum of # $400,000,000 (from and after the Second Amendment Effective Date[[Borrower:Organization]] (the “Fixed Incremental Amount” and any Indebtedness incurred after the Second Amendment Effective Date using this Fixed Incremental Amount under this Agreement or under the Mission Credit Agreement, the “Fixed Incremental Amount Indebtedness”) plus # such additional amount (the “Ratio Incremental Amount” and any Indebtedness incurred using this Ratio Incremental Amount, the “Ratio Incremental Amount Indebtedness”) that would not result in:

Permitted Incremental Amount” means the sum of # the greater of $1,000,000,000 and 50% of the Consolidated EBITDA (from and after the Third Amendment Effective Date[[Borrower:Organization]] (the “Fixed Incremental Amount” and any Indebtedness incurred after the Third Amendment Effective Date using this Fixed Incremental Amount under this Agreement or under the Mission Credit Agreement, the “Fixed Incremental Amount Indebtedness”) plus # such additional amount (the “Ratio Incremental Amount” and any Indebtedness incurred using this Ratio Incremental Amount, the “Ratio Incremental Amount Indebtedness”) that would not result in:

Fixed Incremental Amount” means # the greater of $415,000,000 and 100.0% of Consolidated Adjusted EBITDA for the most recently ended Test Period minus # the aggregate outstanding principal amount of all Incremental Facilities and Incremental Equivalent Debt incurred or issued in reliance on the Fixed Incremental Amount.

Incremental Amount” shall mean, at any time, the sum of # the Fixed Incremental Amount, # the Prepayment-Based Incremental Amount and # the Ratio-Based Incremental Amount.

Fixed Incremental Amount” has the meaning specified in the definition of “Incremental Amount.”
