SECTION # Fiscal Year. The Borrower will not change its fiscal year to end on a date other than December 31; provided that the Borrower may, upon written notice to the Administrative Agent change its fiscal year to any fiscal year reasonably acceptable to the Administrative Agent, in which case, the Borrower and the Administrative Agent will, and are hereby authorized by the [[Organization A:Organization]] to, make any amendments to this Agreement as are necessary in the reasonable judgment of the Administrative Agent and the Borrower to reflect such change in fiscal year.

SECTION # Fiscal Year. The Borrower will not, and the Borrower will not permit any other Loan Party to, change its fiscal year to end on a date other than December 31; provided, however, that the Borrower may, upon written notice to the Administrative Agent, change its fiscal year to any other fiscal year reasonably acceptable to the Administrative Agent, in which case, Holdings, the Borrower and the Administrative Agent will, and are hereby authorized by the Lenders to, make any amendments to this Agreement that are necessary, in the judgment of the Administrative Agent and the Borrower, to reflect such change in fiscal year; provided further, that any Subsidiary that is acquired by Holdings or any of its Subsidiaries may change its fiscal year to be the same as that of the Borrower.

Section # Accounting Changes. The Borrower shall not make any change in its fiscal year; provided, however, that the Borrower may, upon written notice to the Administrative Agent, change its fiscal year to any other fiscal year reasonably acceptable to the Administrative Agent, in which case, the Borrower and the Administrative Agent will, and are hereby authorized by the ​ to, make any adjustments to this Agreement that are necessary to reflect such change in fiscal year.

Section # Accounting Changes. Make any change in fiscal year; provided, however, that the Borrower may, upon written notice to the Administrative Agent, change its fiscal year to any other fiscal year reasonably acceptable to the Administrative Agent, in which case, the Borrower and the Administrative Agent will, and are hereby authorized by the Lenders to, make any amendments to this Agreement that are necessary, in the judgment of the Administrative Agent and the Borrower, to reflect such change in fiscal year.

In respect of the Borrower, not make any change in its fiscal year; provided, however, that the Borrower may, upon written notice to the Administrative Agent, change its fiscal year to any other fiscal year reasonably acceptable to the Administrative Agent at the written direction of the Required Lenders, in which case, the Borrower and the Administrative Agent at the written direction of the Required Lenders will, and are hereby authorized by the Lenders to, make any adjustments to this Agreement that are necessary to reflect such change in fiscal year.

Make any change in fiscal year; provided, however, that Holdings and any Borrower may, upon written notice to the Administrative Agent, change their fiscal year to any other fiscal year reasonably acceptable to the Administrative Agent, in which case, Holdings and the Borrowers and the Administrative Agent will, and are hereby authorized by the ​ to, make any adjustments to this Agreement that are necessary to reflect such change in fiscal year.

Section # Accounting Changes. The Lead Borrower shall not make any change in its fiscal year; provided, however, that the Lead Borrower may, upon written notice to the Administrative Agent, change its fiscal year to any other fiscal year reasonably acceptable to the Administrative Agent, in which case, the Borrowers and the Administrative Agent will, and are hereby authorized by the ​ to, make any adjustments to this Agreement that are necessary to reflect such change in fiscal year.

Section # No Changes in Fiscal Year. The fiscal year of the Borrower and its Restricted Subsidiaries ends on March 31 of each year; and the Borrower shall not, nor shall it permit any Restricted Subsidiary to, change its fiscal year from its present basis unless # the Borrower notifies the Administrative Agent prior to the change, # the Administrative Agent provides written consent (such consent not to be unreasonably withheld or delayed) and # the Borrower provides any reconciliation report reasonably requested by the Administrative Agent.

Make any change in Fiscal Year; provided, however, that Holdings and the ​ may, upon written notice to the [[Administrative Agent:Organization]], change its Fiscal Year to any other fiscal year reasonably acceptable to the [[Administrative Agent:Organization]], in which case, Holdings, the ​ and the [[Administrative Agent:Organization]] will, and are hereby authorized by the Lenders to, make any adjustments to this Agreement that are necessary to reflect such change in fiscal year.
