SECTION # Fiscal Year. The Borrower will not change its fiscal year to end on a date other than December 31; provided that the Borrower may, upon written notice to the Administrative Agent change its fiscal year to any fiscal year reasonably acceptable to the Administrative Agent, in which case, the Borrower and the Administrative Agent will, and are hereby authorized by the ​ to, make any amendments to this Agreement as are necessary in the reasonable judgment of the Administrative Agent and the Borrower to reflect such change in fiscal year.

The Borrower will not, and the Borrower will not permit any other Loan Party to, change its fiscal year to end on a date other than December 31; providedprovided, however, that the Borrower may, upon written notice to the Administrative AgentAgent, change its fiscal year to any other fiscal year reasonably acceptable to the Administrative Agent, in which case, Holdings, the Borrower and the Administrative Agent will, and are hereby authorized by the ​Lenders to, make any amendments to this Agreement asthat are necessarynecessary, in the reasonable judgment of the Administrative Agent and the BorrowerBorrower, to reflect such change in fiscal year.year; provided further, that any Subsidiary that is acquired by Holdings or any of its Subsidiaries may change its fiscal year to be the same as that of the Borrower.

The Borrower willshall not make any change in its fiscal year to end on a date other than December 31; providedyear; provided, however, that the Borrower may, upon written notice to the Administrative AgentAgent, change its fiscal year to any other fiscal year reasonably acceptable to the Administrative Agent, in which case, the Borrower and the Administrative Agent will, and are hereby authorized by the _Organization A:​ to, make any amendmentsadjustments to this Agreement asthat are necessary in the reasonable judgment of the Administrative Agent and the Borrower to reflect such change in fiscal year.

In respect of the Borrower, not make any change in its fiscal year to end on a date other than December 31; providedyear; provided, however, that the Borrower may, upon written notice to the Administrative AgentAgent, change its fiscal year to any other fiscal year reasonably acceptable to the Administrative Agent,Agent at the written direction of the Required Lenders, in which case, the Borrower and the Administrative Agent at the written direction of the Required Lenders will, and are hereby authorized by the ​Lenders to, make any amendmentsadjustments to this Agreement asthat are necessary in the reasonable judgment of the Administrative Agent and the Borrower to reflect such change in fiscal year.

Section # No Changes in Fiscal Year. The fiscal year of the Borrower will notand its Restricted Subsidiaries ends on March 31 of each year; and the Borrower shall not, nor shall it permit any Restricted Subsidiary to, change its fiscal year to end on a date other than December 31; provided thatfrom its present basis unless # the Borrower may, upon written notice tonotifies the Administrative Agent change its fiscal year to any fiscal year reasonably acceptableprior to the Administrative Agent, in which case, the Borrower andchange, # the Administrative Agent will,provides written consent (such consent not to be unreasonably withheld or delayed) and are hereby authorized# the Borrower provides any reconciliation report reasonably requested by the ​ to, make any amendments to this Agreement as are necessary in the reasonable judgment of the Administrative Agent and the Borrower to reflect such change in fiscal year.Agent.
