Lien Searches. The Administrative Agent, the Collateral Agent and the Lenders shall have received # searches of UCC filings in the jurisdiction of incorporation or formation, as applicable, of each Loan Party, # copies of the financing statements on file in such jurisdictions and evidence that no Liens exist other than Permitted Liens and # copies of tax lien, judgment and bankruptcy searches in such jurisdictions.

(A)searches of UCC filings in the jurisdiction of organization, incorporation or formation, as applicable, of each Loan Party and each jurisdiction where a filing would need to be made in order to perfect the Administrative Agent’s security interest in the Collateral, copies of the active financing statements on file in such jurisdictions and evidence that no Liens exist other than Permitted Liens; and

(A) searches of UCC filings in the jurisdiction of incorporation or formation, as applicable, of each Loan Party and, to the extent requested by Agent, each jurisdiction where any Collateral is located or where a filing would need to be made in order to perfect Agent’s security interest in the Collateral, copies of the financing statements on file in such jurisdictions and evidence that no Liens exist other than Permitted Liens and # tax lien, judgment and bankruptcy searches;

UCC Searches and Financing Statements. The Administrative Agent shall have # received lien searches (including Uniform Commercial Code, judgments, bankruptcy and taxes) in form and scope satisfactory to the Administrative Agent with respect to the Loan Parties (including the New Guarantor) showing no existing Liens on the property of the Loan Parties (including the New Guarantor) except as permitted under the Existing Credit Agreement and # filed UCC-1 Financing Statements with respect to the New Guarantor.

Lien Searches. The Administrative Agent shall have received the results of a recent Lien search in the jurisdiction of organization of each Loan Party and each jurisdiction where assets constituting a material portion of the Collateral of the Loan Parties are located, and such search shall reveal no Liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each jurisdiction where the Loan Parties are organized and where a material portion of the assets of the Loan Parties are located, and such search shall reveal no Liens on any of the assets of the Loan Parties except for Liens permitted by Section 6.02 of the Credit Agreement.

Lien Search. The Administrative Agent shall have received the results of a Lien search (including a search as to judgments, bankruptcy, tax and intellectual property matters), in form and substance reasonably satisfactory thereto, made against the Loan Parties under the Uniform Commercial Code (or applicable judicial docket) as in effect in each jurisdiction in which filings or recordations under the Uniform Commercial Code should be made to evidence or perfect security interests in all assets of such Loan Party, indicating among other things that the assets of each such Loan Party are free and clear of any Lien (except for Liens permitted under Section 6.02).

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in the jurisdiction of organization of each Loan Party and each jurisdiction where assets of the Loan Parties are located, and such search shall reveal no Liens on any of the assets of the Loan Parties except for liens permitted by [Section 6.02] and financing statements to be terminated or subordinated at or prior to the Effective Date.

Lien Searches. With respect to the property owned or leased by each Credit Party, and any other property securing the Obligations located in the United States, the Administrative Agent shall have received # the results of Uniform Commercial Code lien searches, reasonably satisfactory to the Administrative Agent and the Lenders, # the results of federal and state tax lien and judicial lien searches and pending litigation and bankruptcy searches, in each case satisfactory to the Administrative Agent and the Lenders, and # Uniform Commercial Code termination statements reflecting termination of all U.C.C. Financing Statements previously filed by any Person and not expressly permitted pursuant to [Section 5.9] hereof.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in the jurisdiction of organization of each Loan Party and each jurisdiction where assets of the Loan Parties are located, and such search shall reveal no Liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 and financing statements to be terminated or subordinated at or prior to the Effective Date.

The Administrative Agent shall have received copies of recent UCC, tax and judgment Lien searches in each jurisdiction reasonably requested by the Administrative Agent, and searches of the records of the United States Patent and Trademark Office and the United States Copyright Office with respect to the Loan Parties.
