Fees. The [[Parties:Organization]] shall have paid or caused to be paid, to the extent payable under [Section 13.5] of the Credit Agreement, all reasonable and documented out-of-pocket costs and expenses incurred in connection with the preparation, negotiation and execution of this Amendment and the other instruments and documents to be delivered hereunder, if any (including the reasonable and documented fees, disbursements and other charges of Latham & Watkins LLP, counsel for the [[Parties:Organization]]).

Fees. In addition to certain fees described in [Sections 2.03(h) and (i)])]:

Fees. Receipt by the Administrative Agent, MLPF&S and the Lenders of any fees required to be paid on or before the date of this Amendment.

Fees. In order to induce Lender to enter into this Seventh Amendment, Borrowers agree to pay Lender an amendment fee in the amount of $20,000. Said amendment fee shall be due and payable on the date of this Seventh Amendment and, upon payment, shall be fully earned and nonrefundable.

Fees. Co-Borrowers shall pay to Bank:

Fees. [[Organization B:Organization]] shall have received all fees payable to [[Organization B:Organization]] and Lenders on or prior to the Closing Date hereunder, including pursuant to Article III hereof and the Fee Letter;

Fees. Landlord will not charge Tenant a supervision, coordination or administrative fee in connection with construction of the Tenant Improvement Work, provided that Tenant shall reimburse Landlord for any reasonable, out-of-pocket costs incurred by Landlord in reviewing the Space Plan, the Preliminary Plans, the Final Working Drawings and Plan Modifications, as set forth in [Section 2.2.7].

Fees. Notwithstanding the above, the Administrator may reduce the permissible distribution amount by any generally applicable fees. However, the Plan may not charge a greater fee for distribution under this Section than applies to other distributions. The Administrator may adopt a policy regarding charging such fees consistent with this paragraph.

Fees. The Lenders and the Administrative Agent shall have received all fees required to be paid, and all expenses for which invoices have been presented (including the reasonable fees and expenses of legal counsel), on or before the Effective Date. All such amounts will be paid with proceeds of Loans made on the Effective Date and will be reflected in the funding instructions given by the Borrower Representative to the Administrative Agent on or before the Effective Date.

Fees. All fees required to be paid on the Closing Date pursuant to the Fee Letter and reasonable out-of-pocket expenses required to be paid on the Closing Date pursuant to any Commitment Letter in respect of the Senior Interim Loan Commitments, to the extent invoiced at least three Business Days prior to the Closing Date, shall, upon the initial Borrowings hereunder, have been, or will be substantially simultaneously, paid (which amounts may be offset against the proceeds of the Senior Interim Loans on the Closing Date).
