Finder’s Fees. Neither the Company nor any Subsidiary has incurred any liability for any finder’s fees, brokerage commissions or similar payments in connection with the transactions herein contemplated, except as may otherwise exist with respect to the Agent pursuant to this Agreement.

SECTION # Finder’s Fee. The Shareholder, in his or her individual capacity, has not created any obligation for any finder’s, investment banker’s or broker’s fee in connection with the Transactions that [[Organization A:Organization]] or the [[Parties:Organization]] will be responsible for.

No Finder’s Fees. Each party severally represents to the other parties that it neither is nor will be obligated for any finder’s fee or commission in connection with this transaction. Each Purchaser shall indemnify, defend, and hold harmless the Company from any liability for any commission or compensation in the nature of a finder’s or broker’s fee arising out of this transaction (and the costs and expenses of defending against such liability or asserted liability) for which the Purchaser or any of its officers, employees, or representatives is responsible. The Company shall indemnify, defend, and hold harmless each Purchaser from any liability for any commission or compensation in the nature of a finder’s or broker’s fee arising out of this transaction (and the costs and expenses of defending against such liability or asserted liability) for which the Company or any of its officers, employees or representatives is responsible.

Section # Finder’s Fees. Other than the fee payable to ICR Capital LLC, neither [[Organization B:Organization]] nor any of the Subsidiaries has incurred any liability for any finder’s fees, brokerage commissions or similar payments in connection with the transactions herein contemplated.

Termination. This Finder’s Agreement shall continue in effect for a period of twelve (12) months from the date of this Finder’s Agreement and may be terminated upon thirty (30) day written notice of either party to terminate the Finder’s Agreement. Should the Company effectuate a Transaction as defined in this Agreement with any of the Target(s) identified by Finder in a period of a twenty-four (24) month after termination of Agreement, Finder will be due full Finder’s Fee as defined here in.

No Party has any obligation to any Person in respect of any finder’s, broker’s or investment banking fee with respect to the Bridge Loan.

1.3Brokers or Finders. No broker’s or finder’s fee will be payable by EXAD in connection with the transaction contemplated by this Agreement, nor will any such fee be incurred as a result of any actions by EXAD.

Investment Property Group, LLC / Medallion Bank . Brokerage Commissions. Except as may be set forth in one or more separate agreements between Landlord and Landlord’s broker, or Landlord or Landlord’s broker and Tenant’s broker, each Party represents and warrants to the other Party that no claim exists for a brokerage commission, finder’s fee or similar fee in connection with this Amendment based on any agreement made by such representing Party. Each Party shall indemnify, defend and hold harmless the other Party from and against any claim for a brokerage commission, finder’s fee or similar fee in connection with this Amendment based on an actual or alleged agreement made by such indemnifying Party.

Broker’s or Finder’s Fees. No agent, broker, person or firm acting on behalf of Seller is, or will be, entitled to any commission or broker’s or finder’s fees from Buyer in connection with the purchase and sale of the Shares hereunder.

Brokers. Except for Redimere Advisors as financial advisor to the Parent, there is no broker, finder or other party that is entitled to receive from the Company Group any brokerage or finder’s fee or other fee or commission as a result of any transactions contemplated by this Agreement.
