Final Data Package. Within [……] after the completion of the activities under the Platform Evaluation Work Plan, Poseida shall provide Takeda with the Final Data Package ([……]). During the [……] period following delivery to Takeda of the Final Data Package, Takeda shall have the opportunity to review and inspect the Final Data Package and to ask [……] questions of, or request [……] additional information from, Poseida and receive [……] answers or receipt of information from Poseida related thereto. [……]. Notwithstanding the foregoing, no limitation on additional information or data shall modify the contents required to be in the Final Data Package. Poseida shall use Commercially Reasonable Efforts to provide to Takeda such requested supplemental data or information within [……] of its receipt of such notice and [……].
“Final Data Package Delivery Date” has the meaning set forth in [Section 3.6.4] (Final Data Package).
“Final Data Package” means the final written data package delivered by Poseida to Takeda promptly, and in any case within [……], after the completion of the activities under the Platform Evaluation Work Plan, containing all data, findings, results and information described in the Platform Evaluation Work Plan or set forth on [Exhibit 1.1].59.
“Final Data Package” has the meaning set forth in [Section 3.6.4] (Final Data Package).
Research Data Package. Within forty-five (45) days after completion of Research Activities, the JRC will prepare a final written report of the data generated, analysis performed and conclusions reached in connection with the performance of the Research Program and a conclusion whether or not Establishment of POC has been achieved (the “Research Data Package”).
“Data Package” means the Screen Preparation Data Package, Primary Screen Data Package, Preliminary Validation Data Package, Part 1 Validation Package, Part 2 Validation Summary and the Final Data Package, as applicable.
Reports and Data Package. Each Party shall regularly report to the other Party through the JSC (or its designated Working Group) its results in conducting Research under the Research Plan for each Research Program. For each Research Program, [[Merus:Organization]] shall provide the JSC with: # the Final Research Deliverables set forth in the Research Plan for such Research Program, after the completion of [[Merus:Organization]]’s Research for such Research Program; and # at each regularly-scheduled JSC meeting, for any then ongoing Research Program during the Research Term, a reasonably detailed summary of for such Research Program under this Agreement.
Final Data Package. Upon completion of the Research Plan, the Parties shall work together to produce a final data package that will contain # all data generated in the performance of Fulcrum Research Activities, # all data generated in the performance of [[MyoKardia:Organization]] Research Activities and # such other information identified in the Research Plan as to be included in such final data package (to the extent not provided in a previous Data Package), to provide to the JSC and allow [[MyoKardia:Organization]] to fully consider whether any of the Cardiomyopathy Target Candidates should be designated a Cardiomyopathy Target; provided that, Fulcrum will not be required to undertake any additional research activities to produce such other information not set forth in the Research Plan, and, to the extent, any such additional research activities would be required, Fulcrum will not be required to deliver such other information (the “Final Data Package”). In the event that the Final Data Package does not contain all such information and either Party notifies the other Party thereof, such Party will promptly provide such missing items and, notwithstanding any earlier delivery by such Parties, the delivery date for the Final Data Package will be deemed for all purposes under this Agreement to be the date upon which the Parties have delivered a complete Final Data Package including all such items, as memorialized by the Parties in writing, which date will, if the Parties have not otherwise memorialized such delivery, be deemed to occur on following the last date on which either Party has provided any missing items to the other Party and neither Party has notified the other of any additional missing items (the “Final Data Package Delivery Date”). Fulcrum will provide reasonable assistance to [[MyoKardia:Organization]] in interpreting all data in the Final Data Package. Promptly following the Final Data Package Delivery Date, Fulcrum will destroy [[MyoKardia:Organization]]’s materials provided under this Agreement, including any Engineered Cell Line, and [[MyoKardia:Organization]]’s Confidential Information, except that one copy of such Confidential Information can be kept for archival and [[Organization A:Organization]] purposes.
