Procedures; Decisions Final. Actions of the Committee shall be made by the vote of a majority of its members. The determination of the Committee on all matters relating to this Plan and any amounts payable thereunder shall be final, binding and conclusive on all parties.

Final Space Plan. ​ will work with Architect to prepare a conceptual space plan for the Premises (collectively, the “Final Space Plan”) and will deliver the draft Final Space Plan to ​ on or before the date set forth in the Progress Schedule. The Final Space Plan shall # be consistent with ​’s requirements for avoiding engineering or other conflicts with the design and function of the ​’s Work (collectively, the “​ Requirements”), and # otherwise be subject to ​’s reasonable approval. ​ shall provide ​ with notice approving or reasonably disapproving the Final Space Plan within five (5) business days after ​’s receipt thereof. If ​ disapproves the Final Space Plan, ​’s notice of disapproval shall describe with reasonable specificity the basis for such disapproval, and ​, ​ and Architect shall expeditiously and in good faith work together to agree upon a mutually acceptable Final Space Plan.

Final Expiration Date. “Final Expiration Date” shall mean the date set forth in the Stock Option Grant Notice.

Final Commitment Fee. If [[Organization B:Organization]] has triggered the obligation to pay the Final Commitment Fee pursuant to Section 11.04, [[Organization B:Organization]] shall have wired, and [[Organization A:Organization]] shall have received, the Final Commitment Fee.

Following the termination of any Transaction in whole or in part pursuant to Clause 3 or by reason of the occurrence of the Scheduled Termination Date (other than in connection with a Repayment), the Final Price for the relevant Terminated Obligation will be determined in accordance with this Clause 4.

Final and Binding Effect. Pennypacker understands that if this Agreement becomes effective it will have a final and binding effect, and that by signing and not timely revoking this Agreement he may be giving up legal rights.

Presentation for Final Acceptance. The first seventy-two (72) Customer Satellites (whether in Batches or individually, as the case may be) (the “Initial Customer Satellites”) shall be presented for Final Acceptance after the Successful Completion of # FAR in accordance with [Article 10.1.1] and # following Launch as arranged by the Customer, in accordance with the terms and conditions and the Statement of Work, and the submission to Customer of the post-Launch/pre-Final Acceptance information contemplated by the Statement of Work.

NOTICE OF FINAL AGREEMENT. BY SIGNING THIS DOCUMENT EACH PARTY REPRESENTS AND AGREES THAT: # THIS WRITTEN AGREEMENT REPRESENTS THE FINAL AGREEMENT BETWEEN THE PARTIES, # THERE ARE NO UNWRITTEN ORAL AGREEMENTS BETWEEN THE PARTIES, AND # THIS WRITTEN AGREEMENT MAY NOT BE CONTRADICTED BY EVIDENCE OF ANY PRIOR, CONTEMPORANEOUS, OR SUBSEQUENT ORAL AGREEMENTS OR UNDERSTANDINGS OF THE PARTIES.

Final Unconditional Lien Waivers. ​ shall have furnished to ​ duly executed final, unconditional lien waivers, in the form acceptable to ​ from the General Contractor and all Trade Contractors who have performed work in connection with the Project, for the work so performed, and/or who have supplied labor and/or materials in connection with the Project, for the labor and/or materials so supplied.

Material Agreements. As of the Original Effective Date, Part A of [Schedule II] is a complete and correct list of each outstanding credit agreement, loan agreement, indenture, purchase agreement, guarantee, letter of credit or other arrangement providing for or otherwise relating to any Indebtedness or any extension of credit (or commitment for any extension of credit) to, or guarantee by, the Borrower or any of its Subsidiaries, and the aggregate principal or face amount outstanding or that is, or may become, outstanding under each such arrangement as of the Original Effective Date is correctly described in Part A of [Schedule II].
