Uniform Commercial Code Financing Statements and Assignments of Contracts. All filings of Code financing statements, assignments of the Contracts and all other filings, recordings and action necessary to perfect Agent’s Liens granted under this Agreement shall have been filed or recorded and confirmation thereof shall have been received by Agent.

“Filings” shall have the meaning set forth in [Article 6(c)] of this Agreement.

Section # SEC Filings. In connection with the transactions contemplated hereby, the Seller hereby agrees:

An investment in the ​ Preferred Stock in connection with the Exchange involves a high degree of risk. Such risks include, but are not limited to, the risks associated with the business of the Issuer, as more particularly set forth in the Issuer’s Annual Report on Form 10-K, Quarterly Reports on Form 10-Q, and other filings (“Issuer SEC Filings”) with theU.S. Securities and Exchange Commission (the “SEC”), which Issuer SEC Filings are available for inspection by each Noteholder at:https://www.sec.gov/cgi-bin/browse-edgar?company=​+group&owner=exclude&action=getcompany

use its commercially reasonable efforts to provide counsel to the Support Party with draft copies of all material documents, filings, agreements and instruments (including, without limitation, all Transaction Documents) that the Company intends to file or execute in connection with the Transactions as soon as reasonably practicable, and in no event later than three business days prior to the date that it intends to file or execute such documents filings, agreements and instruments, and the Company shall incorporate all reasonably requested comments of the Support Party to such documents, filings, agreements and instruments;

Regulatory Filings. Each of the parties hereto will furnish to the other party hereto such necessary information and reasonable assistance as such other party may reasonably request in connection with its preparation of necessary filings or submissions to any governmental agency. Buyer and Sellers each agree to timely file any information reports,

registrations, filings or qualifications pursuant to [Section 3], including, without limitation, all registration, listing, and

as otherwise provided in the Offering Documents, all consents, authorizations, orders, filings and registrations which

copies of all substantive communications received from patent offices with respect to such filings; and
