Fee Letters. On the Closing Date and thereafter, the Borrower shall pay to the Administrative Agent, the Collateral Agent, the Depositary and any other parties thereto (for their respective accounts) such fees in the amount and at the times set forth in the Fee Letters.

Fee Letter. In addition to certain fees described in paragraphs [(a) through (d) above], the Borrower shall pay any fees in the amounts and at the times specified in any fee letters between Administrative Agent and Borrower. Such fees shall be fully earned when paid and shall not be refundable for any reason whatsoever.

Payment of Fees. The Borrower shall have paid all fees and expenses payable on or before the Closing Date as required by this Agreement, the Fee Letters or any other Loan Document, including, without limitation, the fees and expenses of counsel to the Administrative Agent.

Administrative Agent Fee Letter and Other Fees. The Borrower shall have # substantially concurrently on the Closing Date paid to the Administrative Agent, for its sole account, the fees stated in the Administrative Agent Fee Letter, and # subject to any agreed upon limitation, paid all documented reasonable out-of-pocket legal fees and expenses of the Administrative Agent (to the extent invoiced at least three (3) Business Days prior to the Closing Date) in connection with the preparation and negotiation of the Loan Documents.

Payment at Closing; Fee Letters. The Borrower shall have paid to the Administrative Agent, the Arrangers and the Lenders the fees set forth or referenced in [Section 4.3] that are then due and any other accrued and unpaid fees or commissions, to the extent invoiced, due hereunder (including legal fees and expenses) and to any other Person such amount as may be due thereto in connection with the transactions contemplated hereby, including all taxes, fees and other charges in connection with the execution, delivery, recording, filing and registration of any of the Loan Documents.

Payment of Fees. All amounts required to be paid to or deposited with the Administrative Agent, the Collateral Agent, the Depositary or any Lender under this Agreement, the Fee Letters (as of the Closing Date), or any other Financing Document, or under any separate agreement with such parties, and all taxes, fees and other costs payable in connection with the execution, delivery and filing of the documents and instruments required to be filed pursuant to this Section 3.1, shall have been paid in full (or in connection with such taxes, fees (other than fees payable to the Lenders or the Agents) and costs, the Borrower shall have made other arrangements acceptable to the Agents, the Depositary or such Lender(s), as the case may be, in their sole discretion).

Fee Letter. In addition to certain fees described in paragraphs [(a) through (d) above], the Borrower shall pay those certain fees in the amounts and at the times specified in that certain letter regarding fees dated April 16, 2014 from Administrative Agent in favor of Borrower. Such fees shall be fully earned when paid and shall not be refundable for any reason whatsoever.

Administrative Agent Fee Letter, Closing Fee Letter and Other Fees. The Borrowers shall have # executed and delivered to the Administrative Agent, the Administrative Agent Fee Letter and paid to the Administrative Agent, for its sole account, the fees stated therein, # executed and delivered to the Administrative Agent, the Closing Fee Letter and paid to the Administrative Agent, for the benefit of the Lenders, the fees stated therein, and # paid all documented reasonable out-of-pocket legal fees and expenses of the Administrative Agent in connection with the preparation and negotiation of the Loan Documents.

Administrative Agent, Depositary and Collateral Agent Fee. On each Payment Date, the Borrower shall pay to the Administrative Agent (for the benefit of the Administrative Agent, the Depositary and the Collateral Agent), the Administrative Agent, Depositary and Collateral Agent Fee.

Administrative Agent Fee Letter, Closing Fee Letter and Other Fees. The Borrowers shall have # executed and delivered to the Administrative Agent, the Administrative Agent Fee Letter and paid to the Administrative Agent, for its sole account, the fees stated therein, # executed and delivered to the Administrative Agent, the Closing Fee Letter and paid to the Administrative Agent, for the benefit of the Lenders, the fees stated therein, and # paid all documented reasonable out-of-pocket legal fees and expenses of the Administrative Agent in connection with the preparation and negotiation of the Loan Documents.
