Fax or Email Execution. This Agreement may be executed by delivery of executed signature pages by fax or email and such fax or email execution will be effective for all purposes.

Delivery of an executed counterpart of a signature page of this Certificate by fax transmission or other electronic mail transmission (e.g. “pdf” or “tif”) shall be effective as delivery of a manually executed counterpart of this Certificate.

SECTION # Notices. All communications hereunder shall be in writing and effective only upon receipt and # if sent to the Purchaser, will be mailed, hand delivered, couriered or sent by facsimile transmission to it at 200 West Street, New York, New York 10282, to the attention of ​ number: ​, email: ​, with copies to: Peter Morreale, fax number: ​, email: ​ and Joe Osborne, fax number: ​, email: ​, # if sent to the Seller, will be mailed, hand delivered, couriered or sent by facsimile transmission or electronic mail and confirmed to it at ​, 200 West Street, New York, New York 10282, to the attention of ​ number: ​, email: ​, with copies to: Peter Morreale, fax number: ​, email: ​ and Joe Osborne, fax number: ​, email: ​, and # in the case of any of the preceding parties, such other address as may hereafter be furnished to the other party in writing by such parties.

Each Party hereby expressly consents to the use of Electronic Transmission for communications and notices under this Agreement. For purposes of this Agreement, “Electronic Transmission” means a communication # delivered by Fax or E-Mail when directed to the Fax number or E-Mail address, respectively, for that recipient on record with the sending Party; and, # that creates a record that is capable of retention, retrieval, and review, and that may thereafter be rendered into clearly legible tangible form.

Electronic Transmission of Data. ​ and ​ agree that certain data related to Mortgage Loans (including confidential information, documents, applications and reports) and the transactions contemplated by this Agreement may be transmitted electronically, including over the Internet and/or through the use of the Electronic Platform. This data may be transmitted to, received from or circulated among agents and representatives of ​ and/or ​ and their affiliates, and other Persons involved with the subject matter of this Agreement. ​ acknowledges and agrees that: # there are risks associated with the use of electronic transmission and that ​ does not control the method of transmittal or service providers; # ​ has no obligation or responsibility whatsoever and assumes no duty or obligation for the security, receipt, or third party interception of such transmissions, and # ​ WILL RELEASE, HOLD HARMLESS AND INDEMNIFY EACH INDEMNIFIED PARTY FROM AND AGAINST ANY AND ALL LOSSES WHICH ARE RELATED TO THE ELECTRONIC TRANSMITTAL OF DATA, SUBJECT TO THE LIMITATIONS OF ​’S INDEMNIFICATION OBLIGATIONS UNDER THIS AGREEMENT. Notwithstanding anything in this Section to the contrary, the provisions of this Section shall not be deemed to limit or release ​ from its obligations under [Section 10.26], Confidentiality.

“pdf” or “tif”) shall be effective as delivery of a manually executed counterpart of this Agreement or such other Loan Document or certificate. Without limiting the foregoing, to the extent a manually executed counterpart is not specifically required to be delivered under the terms of any Loan Document, upon the request of any party, such fax transmission or electronic mail transmission shall be promptly followed by such manually executed counterpart.

Section # Counterparts; Fax. This Amendment may be separately executed in counterparts and by the different parties hereto in separate counterparts, each of which when so executed shall be deemed to constitute one and the same Amendment. The Amendment Documents may be validly executed by facsimile or other electronic transmission.

Section # Notices. Except in the case of notices and other communications expressly permitted to be given by telephone, all notices and other communications provided for herein shall be in writing and shall be delivered by hand or overnight courier service, mailed by certified or registered mail or sent by fax, e-mail or other electronic transmission, as follows:

Notices and other communications sent by hand or overnight courier service, or mailed by certified or registered mail, shall be deemed to have been given when received; notices and other communications sent by fax or other electronic transmission shall be deemed to have been given when sent (except that, if not given during normal business hours for the recipient, shall be deemed to have been given at the opening of business on the next business day for the recipient).

As an alternative to the above, any of the parties hereto may give notice by fax or e-mail to the recipients at the fax number or e-mail address above set forth in which case, if so sent, shall be deemed to have been received on the day next following the date of actual transmission and shall thereby be sufficient notice given hereunder provided that the person providing the notice has no reasonable basis to believe that the intended recipient did not receive same.
