Invalidity and Waiver. If any portion of this Agreement is held invalid or inoperative, then so far as is reasonable and possible the remainder of this Agreement shall be deemed valid and operative, and, to the greatest extent legally possible, effect shall be given to the intent manifested by the portion held invalid or inoperative. The failure by either party to enforce against the other any term or provision of this Agreement shall not be deemed to be a waiver of such party’s right to enforce against the other party the same or any other such term or provision in the future.

InvaliditySeverability and Waiver. If a court of competent jurisdiction determines that any portionprovision of this Agreement is held invalid or inoperative,unenforceable, then so far as is reasonablethe invalidity or unenforceability of such provision shall not affect the validity or enforceability of any other provision of this Agreement, and possible the remainderall other provisions shall remain in full force and effect. Waiver by any party of any breach of this Agreement shall be deemed valid and operative, and,or failure to the greatest extent legally possible, effect shall be given to the intent manifested by the portion held invalid or inoperative. The failure by either party to enforce against the otherexercise any term or provision of this Agreementright hereunder shall not be deemed to be a waiver of any other breach or right. The failure of any party to take action by reason of such party’sbreach or to exercise any such right shall not deprive the party of the right to enforce against the other party the sametake action at any time while or any otherafter such termbreach or provision in the future.condition giving rise to such rights continues.
