Extent of Services. Executive shall use his best efforts to carry out Executive's duties and responsibilities consistent with this Agreement and shall devote substantially all of Executive's business time, attention and energy thereto. In the performance of his duties, Executive shall observe and adhere to all applicable Company policies and procedures as may be interpreted, adopted, revised or deleted from time to time in the Company's sole discretion. During the Employment Period, Executive may engage in # volunteer services for or on behalf of such religious, educational, non-profit and/or other charitable organization as Executive may wish to serve and # with the consent of the Board of Directors of Company (“Board”) (which consent shall not be unreasonably withheld), serve on one (1) for-profit board of directors, in all such cases not interfering with Executive's responsibilities and performance of Executive's duties hereunder. The foregoing shall not be construed as preventing Executive from owning less than two percent (2%) of the total outstanding shares of a publicly traded company.

In the performance of his duties, Executive shall observe and adhere to all applicable Company policies and procedures as may be interpreted, adopted, revised or deleted from time to time in the Company’s sole discretion. During the Employment Period, Executive may engage in volunteer services for or on behalf of such religious, educational, non-profit and/or other charitable organization as Executive may wish to serve, in all such cases not interfering with Executive’s responsibilities and performance of Executive’s duties hereunder. During the Employment Period, Executive may engage in volunteer services for or on behalf of such religious, educational, non-profit and/or other charitable organization as Executive may wish to serve, in all such cases not interfering with Executive’s responsibilities and performance of Executive’s duties hereunder. The foregoing shall not be construed as preventing Executive from owning less than one percent (1%) of the total outstanding shares of a publicly traded company.

Extent of Services. During the time that Executive is employed by the Company, Executive shall devote his full business time and efforts to the performance of his duties hereunder; provided, however, that nothing in this Section 2 shall be deemed to prohibit Executive from continuing his service as a director, advisory director or in such other similar position of any firm in which Executive has (as of the date hereof) an equity interest so long as such services do not materially detract from Executive's ability to perform his services hereunder and are not provided to any business or organization engaged in a business or activity which is substantially similar to, or would reasonably be deemed to be, competitive with the Company. Executive agrees to perform the services contemplated herein faithfully and diligently and in the best interests of the Company and its affiliates.

Section # Exclusive Service. The Executive shall devote his best efforts and substantial time and attention to rendering services on behalf of the Company in furtherance of its best interests, except for any period or periods of time during which the Executive’s ability to discharge any of such duties and responsibilities and devote such time and attention are impaired as a result of a mental or physical disability of his, or he is on vacation, holiday or other leave, or as otherwise agreed by the Chief Executive Officer. It is anticipated that the Executive shall render professional services to the Company regularly approximating twenty hours or more per week. The Executive shall comply with all written policies, standards and regulations of the Company now or hereafter promulgated and communicated to the Executive, and shall perform his duties under this Agreement to the best of his abilities and in accordance with standards of conduct generally applicable to senior executive officers of similarly situated companies. The obligations of this Section 3 shall not be construed to mean that the Executive shall not be a director of any other corporation, or be associated in any way whatsoever with any educational, charitable, civic, social, recreational, youth, sports or other organization or endeavor; provided, however, during the time of his employment under this Agreement, the Executive shall not serve as an employee, officer or director of any other entity or corporation without the affirmative and prior approval of the Board of Directors in its discretion after full disclosure provided by the Executive, which approval shall not be unreasonably withheld in the absence of the Board’s identification of concern regarding the existence of an inherent conflict or potential conflict.

Extent of Service. During his employment hereunder, Executive shall, subject to the discretion and supervision of the Board of Directors of Employer, devote his full business time, best efforts and business judgment, skill and knowledge to the advancement of Employer’s interest and to the discharge of his duties and responsibilities hereunder. He shall not engage in any other business activity, except as may be approved by the Board of Directors of Employer. “Business activity” shall not include Executive’s investment or ownership in publicly held corporations or entities whose securities are tracked on recognized national or regional stock exchanges; provided such investment or ownership is at all times during the term of this agreement less than 5% of the outstanding shares of said corporation or entity.

During the Employment Period, and excluding any periods of vacation and sick leave to which Executive is entitled, Executive agrees to devote substantially all of his business time to the business and affairs of the Company and, to the extent necessary to discharge the responsibilities assigned to Executive hereunder or by the Board or the CEO hereafter, to use Executive’s reasonable best efforts to perform faithfully, effectively and efficiently such responsibilities. During the Employment Period, it shall not be a violation of this Agreement for Executive to # serve on corporate, civic or charitable boards or committees, provided that service on any corporate board or committee shall be subject to the prior approval of the Board, # deliver lectures or fulfill speaking engagements, and # manage personal investments, so long as such activities do not materially interfere with the performance of Executive’s responsibilities hereunder.

The Executive shall devote substantially all of the Executive's working time and efforts to the business and affairs of the Company (which shall include service to its affiliates, if applicable) and shall not engage in outside business activities (including serving on outside boards or committees) without the consent of the Board, provided that the Executive shall be permitted to # manage the Executive's personal, financial and legal affairs, # participate in trade associations, and # serve on the board of directors of not-for-profit or tax-exempt charitable organizations, in each case, subject to compliance with this Agreement and provided that such activities do not materially interfere with the Executive's performance of the Executive's duties and responsibilities hereunder.

Section # Exclusivity. During the Employment Term, the Executive shall devote substantially all of his business time to the business of the Company, shall faithfully serve the Company, shall in all respects conform to and comply with the lawful and reasonable directions and instructions given to him by the Board of Directors and/or the Chairman. The Executive shall use reasonable efforts to serve the interests of the Company and shall not engage in any other business activity, whether or not such activity shall be engaged in for pecuniary profit, except that: # the Executive may participate in the activities of professional trade organizations and engage in personal investing activities, provided that such activities do not interfere in any material respect with the services to be provided by the Executive hereunder and are not in companies that compete with the Company; # the Executive may serve in local or state political office, or on any community or residential boards or associations, so long as any such role is of a part-time nature and the performance of Executive’s duties in such role(s) does not interfere in any material respect with the services to be provided by him hereunder; and # the Executive may engage in reasonable and ordinary levels of activity with any charitable, eleemosynary, civic, and/or religious organizations.

Extent of Service. Executive agrees to use Executive’s best efforts to carry out Executive’s duties and responsibilities under Section 1.2 hereof and, consistent with the other provisions of this Agreement, to devote substantially all of Executive’s business time, attention and energy to the performance of Executive’s duties and responsibilities hereunder. Subject to the requirements of Section 5.1, the foregoing shall not be construed as preventing Executive from making investments in other businesses or enterprises provided there is no conflict with Executive’s ability to satisfy his obligations to the Company.
