During the term of his employment under this Agreement, Employee shall devote substantially his full business time, energy and attention to the benefit and business of Employer as may be necessary in performing his duties pursuant to this Agreement, subject to the following sentence. Employee shall not provide services of a business nature to any other person except that Employee may engage in the Permitted Activities (as defined in Section 11(e)) provided that such activities do not significantly interfere with Employee’s performance of his duties hereunder. In order to maximize Employee’s efficiency and effectiveness for Employer, Employee may utilize the services of his executive assistant to assist Employee with de minimis personal matters.

Extent of Amendments. Except as otherwise expressly provided herein, the Credit Agreement and the other Loan Documents are not amended, modified or affected by this Amendment. The Borrower hereby ratifies and confirms that # except as expressly amended hereby, all of the terms, conditions, covenants, representations, warranties and all other provisions of the Credit Agreement remain in full force and effect, # each of the other Loan Documents are and remain in full force and effect in accordance with their respective terms, and # the Collateral and the Liens on the Collateral securing the Obligations are unimpaired by this Amendment and remain in full force and effect.

Extent of Release. This Release includes all claims I may have against Releasees which relate either to the time of my employment or to my termination, except the claims mentioned in Section 2(c) below. Some of the types of claims that I am releasing, although there also may be others not listed here, are claims under local, state or federal law relating to:

Extent of Service. During his employment hereunder, Executive shall, subject to the discretion and supervision of the Board of Directors of Employer, devote his full business time, best efforts and business judgment, skills and knowledge to the advancement of Employer’s interest and to the discharge of his duties and responsibilities hereunder. He shall not engage in any other business activity, except as may be approved by the Board of Directors of Employer. “Business activity” shall not include Executive’s investment or ownership in publicly held corporations or entities whose securities are tracked on recognized national or regional stock exchanges; provided such investment or ownership is at all times during the term of this agreement less than 5% of the outstanding shares of said corporation or entity.

Duties and Extent of Services During Period of Employment. During the Term, Employee shall: # remain employed by the Company as Vice President of Corporate Development and Strategy of the Company and Vice President of Sales and Marketing of the Company’s wholly owned subsidiary Altamira Instruments, Inc.; # perform such duties and services as are commensurate with Employee’s positions; # devote Employee’s full business time and exclusive business efforts to serving the Company; # perform all duties incident to Employee’s position to the best of Employee’s ability and in compliance with the policies and procedures of the Company, applicable law and past practice with respect to Employee’s responsibilities; and # perform all of Employee’s responsibilities and duties hereunder in southwestern Florida, Maine, or Pennsylvania as deemed appropriate by Employee, subject, however, to the reasonable travel requirements of Employee’s position, which travel requirements may include visits or occasional work at other offices of the Company from time to time.

Services. The Company engages Consultant to perform consulting services, on an as-needed basis, as requested from time to time by the Company’s Chief Executive Officer or the Company’s Chief Financial Officer.

Services. Tenant shall be responsible for the cost of supplying electricity to the Equipment, including electricity usage, installation, maintenance and repair of any Connections and of any separate meter required by Landlord. Electric usage shall be determined, at Landlord’s option, either # by meter installed by Landlord at Tenant’s sole cost and expense, or # by Landlord’s reasonable estimate based upon the quantity of use by Tenant, the manufacturer’s specifications for electrical usage of the Equipment and any other relevant factors. Tenant shall pay Landlord monthly, within thirty (30) days after being billed therefor, for all electricity used by Tenant or any Tenant Parties in connection with the operation of the Equipment.

Services. Advisor agrees to # advise the Company on general strategic business and technical matters in line with the responsibilities set forth in Appendix A, # use his/her best efforts to meet with the Company’s Board of Directors and/or management in person once ever calendar quarter, and # collaborate and provide advice and assistance to the Company as is mutually agreed by the parties (collectively, the “Services”).

Services. The Executive shall exert the Executive’s best efforts and devote substantially all of the Executive’s time and attention to the affairs of the Companies. The Executive shall perform the duties which are generally assigned to executives in similar positions in corporations of similar size as the Companies. The Executive shall report directly to the Chief Executive Officer.

Services. Commencing February 12, 2015, Consultant is engaged to provide such services to ​ as ​ may reasonably request from time to time to facilitate the orderly transition of Consultant’s prior duties and responsibilities as Executive Vice President, Chief Financial Officer of ​, including participating in meetings with ​’s board of directors and/or personnel as reasonably requested by ​.
