No Borrower will, and no Borrower will permit any of the Loan Parties to, enter into any transaction or series of related transactions with any Affiliate of any Borrower or any of the Loan Parties, other than in the Ordinary Course of Business and on terms and conditions substantially as favorable to the [[Organization A:Organization]] and the Loan Parties as would reasonably be obtained by such Borrower or such Loan Party at that time in a comparable arm's-length transaction with a Person other than an Affiliate, except that the following in any event shall be permitted:

No Borrower will, and no Borrower will permit any of the Loan Parties to,not enter into any transaction or series of related transactions with any Affiliate including, without limitation, the purchase, sale or exchange of property or the rendering of any Borrower or any of the Loan Parties, other thanservice, except in the Ordinary Courseordinary course of Businessbusiness and onpursuant to the reasonable requirements of Borrower’s business and upon terms found by its board of directors to be fair and conditions substantially asreasonable and no less favorable to the [[Organization A:Organization]] and the Loan Parties asBorrower than would reasonably be obtained by such Borrower or such Loan Party at that timeobtain in a comparable arm'arm’s-length transaction with a Person other thannot an Affiliate, except that the following in any event shall be permitted:Affiliate.

No Borrower will, and noTransactions with Affiliates. Borrower will not, and will not permit any of the Loan Partiesits Subsidiaries to, enter into any transaction or series of related transactions with any Affiliate of any Borrower or any of the Loan Parties,its Subsidiaries, other than in the Ordinary Courseordinary course of Businessbusiness and on terms and conditions substantially as favorable to the [[Organization A:Organization]] and the Loan PartiesBorrower or such Subsidiary as would reasonably be obtained by such Borrower or such Loan PartySubsidiary at that time in a comparable arm's-arm’s length transaction with a Person other than an Affiliate, except that the following in any event shall be permitted:that:

NoA Borrower will, and no Borrower will permit any of the Loan Parties to,shall not enter into any transaction or series of related transactions with any Affiliate or Subsidiary including, without limitation, the purchase, sale, or exchange of any Borrowerproperty or assets, or the loaning or giving of funds to any Affiliate or any ofSubsidiary, unless # such Subsidiary or Affiliate is engaged in a business substantially related to the Loan Parties, other thanbusiness conducted by such Borrower, and the transaction is in the Ordinary Courseordinary course of Business and onpursuant to the reasonable requirements of such Borrower's business and upon terms substantially the same and conditions substantially asno less favorable to the [[Organization A:Organization]] and the Loan Parties as would reasonably be obtained by such Borrower or such Loan Party at that timeas it would obtain in a comparable arm's-length transactions with any Person not an Affiliate or a Subsidiary, and # such transaction with a Person other than an Affiliate, except that the following in any event shall be permitted:is not otherwise prohibited hereunder.

No Borrower will, and no Borrowernor will it permit any of the Loan Partiesits Subsidiaries to, enter into any transaction or series of related transactionstransactions, whether or not in the ordinary course of business, with any Affiliate of any Borrowerofficer, director, trustee, shareholder, Subsidiary or any of the Loan Parties,Affiliate other than in the Ordinary Course of Business and on terms and conditions substantially as favorable to the [[Organization A:Organization]] and the Loan Parties as would reasonably be obtained by such Borrower or such Loan Party at that timeobtainable in a comparable arm'arm’s-length transaction with a Person other than an Affiliate, except that the following in any event shall be permitted:officer, director, trustee, shareholder, Subsidiary or Affiliate.

No Borrower will, and no Borrower will permit any of the Loan Parties to, enter into. Enter into, directly or indirectly, any transaction or series of related transactions for the payment of money, sale of goods or provision of services, whether or not in the ordinary course of business, with any Affiliate of any Company (other than between or among Borrower and one or any of the Loan Parties,more [[Organization A:Organization]]), other than in the Ordinary Course of Business and on terms and conditions substantiallyat least as favorable to the [[Organization A:Organization]] and the Loan Partiessuch Company as would reasonably be obtained by such Borrower or such Loan PartyCompany at that time in a comparable arm'arm’s-length transaction with a Personperson other than an Affiliate, except that the following in any event shall be permitted:
