Section Titles; Time Periods. The section titles contained in this Intercreditor Agreement are and shall be without substantive meaning or content of any kind whatsoever and are not a part of this Intercreditor Agreement.

Limitations on Interest Periods. Notwithstanding any other provision of this Agreement, the Borrower shall not be entitled to request (or to elect to convert to or continue as a Eurodollar Borrowing) any Borrowing if the Interest Period requested therefor would end after the applicable Maturity Date.

Key File Time Periods. Subject to the terms of [Section 3.4] above, ​ may request and receive Trial, Interim and Production Key Files that allow the Licensed Software to run for a period of ​. Key Files for ​ do not allow Updates to be installed. Production Key Files only allow Updates to be installed during the one year period for which ​ or Customer has paid the annual Maintenance Services fee.

Calculation of Time Periods. Unless otherwise specified, in computing any period of time described herein, the day of the act or event after which the designated period of time begins to run is not to be included and the last day of the period so computed is to be included, unless such last day is a Saturday, Sunday or legal holiday for national banks in the location where the Property is located, in which event the period shall run until the end of the next day which is neither a Saturday, Sunday, or legal holiday. The last day of any period of time described herein shall be deemed to end at ​ Chicago time.

Tolling of Restrictive Periods. If the Executive violates any of the restrictions contained in [Section 7], the restrictive periods shall be suspended and will not run in favor of the Executive until such time as the Executive cures the violation to the satisfaction of the Company.

SECTION # Post-Closing Matters. Execute and deliver the documents and complete the tasks set forth in [Schedule 5.12], in each case within the time periods specified therein (including any extension of such time periods permitted by the Administrative Agent pursuant to paragraph # of the definition of “Collateral and Guarantee Requirement”).

Terms of Extension Offers and Extension Amendments. The terms of any Extended Loans and Extended Commitments will be set forth in an Extension Offer and as agreed between the ​ and the Extending Lenders accepting such Extension Offer; provided that:

Extension of Commitments. Effective as of the Extension Date, the Termination Date of the Commitment of each Extending Lender identified on [Schedule I] shall be extended to ​, which, for purposes of [Section 2.08(d)(ii)] of the Credit Agreement, shall be the "Current Termination Date."

Extension of Credit. The Lender hereby agrees to extend credit to the Companies in the amount of ​ (the “Facility”). The funds will be wired directly to the account of ​/[Companies:Organization] Research Canada, Inc.

After giving effect to all Borrowings, all conversions of Loans from one Type to the other, and all continuations of Loans as the same Type, there shall not be more than ten Interest Periods in effect unless otherwise agreed between the ​ and the Administrative ​; provided that after the establishment of any new Class of Loans pursuant to a Refinancing Amendment or Extension, the number of Interest Periods otherwise permitted by this [Section 2.10(g)] shall increase by three Interest Periods for each applicable Class so established.
