“Use” means to access, use, copy, reproduce, modify, prepare derivative works, make, have made (including export and import in compliance with applicable US law), distribute, perform, and display for Facility Purposes and in compliance with the provisions of this IP License.

Each receiving Party agrees that, except where Service Provider elects to do so in order to utilize service support located outside the United States, ​’s Confidential and Proprietary Information will exclusively be stored, processed, accessed and/or viewed in or from United States data centers and receiving Party will not export any such Confidential and Proprietary Information nor allow access by any foreign national contrary to the laws of the United States. The release of any Confidential and Proprietary Information to receiving Party will be subject to and in accordance with any applicable laws, including applicable United States export laws and regulations (if any).

Before carrying out any export or transfer of goods, services or technology across national borders, sales, compliance and legal personnel should work together to ensure that the relevant Group Company has a good understanding and good records regarding each of the following issues.

“Ex-Im Laws” means # the EAR, ITAR, and any other Laws related to export controls administered or enforced by an applicable Governmental Authority; and # import controls and customs Laws administered by U.S. Customs and Border Protection and any other applicable Governmental Authority.

“Exploit” or “Exploitation” means to make, have made, import, export, use, have used, sell, have sold, or offer for sale, including to Develop, Commercialize, register, modify, enhance, improve, Manufacture, have Manufactured, hold, or keep (whether for disposal or otherwise), or otherwise dispose of.

Neuren and its Affiliates will not, and must procure that its licensees and sub-licensees do not, develop, Commercialize, or export any Compound or Product in the Territory at any time during the Term of this Agreement, except as expressly permitted by clause 3.5.

"Sanctioned Territory" means, as of any date of determination, any country or other territory subject to a general export, import, financial or investment embargo under Economic Sanctions Law, which territories, as of the date of this Agreement, include Cuba, Iran, North Korea, Sudan and Syria;

the licenses granted to Arcus by Abmuno under this Agreement to make, have made, use, register, sell, offer to sell, have sold, import, export, exploit, research, improve, Develop and Commercialize Licensed Products in the Field in the Territory shall be fully paid-up, irrevocable and non-exclusive.

“Anti-Terrorism Laws” shall mean any Laws relating to terrorism, trade sanctions programs and embargoes, import/export licensing, money laundering or bribery, and any regulation, order, or directive promulgated, issued or enforced pursuant to such Laws, all as amended, supplemented or replaced from time to time.

Corrupt Foreign Officials Act (Sergei Magnitsky Law), as amended, the United Nations Act (Canada), as amended, the Export and Import Permits Act (Canada), as amended, and the Freezing Assets of Corrupt Foreign Officials Act (Canada), as amended, and including all regulations promulgated under any of the foregoing, or any other similar sanctions program or action.
