Subject to the downstream agreement between Licensee and Plain Vanilla Research Limited Partnership and relating solely to the intellectual property licensed in that downstream agreement, Licensee shall use commercially reasonable efforts during the License Period to # manufacture the Licensed Products; # distribute and sell the Licensed Products; and # engage in Advertising and Promotion (as defined below) in the Licensed Territory.
