Expenses. The Executive will be reimbursed for his actual, necessary and reasonable business expenses pursuant [[Organization A:Organization]] policy, subject [[Organization A:Organization]] the provisions of [Section 3 of Exhibit A] attached hereto.

Expenses. Borrowers agree to pay on demand all expenses of Term Agent and Lenders in connection with the administration of this Amendment No. 2 in accordance with [Section 8.5] of the Loan Agreement.

Expenses. Company will reimburse Employee for all reasonable expenses of types authorized by Company and incurred by Employee in performing consulting services under this Agreement. Employee will comply with such approval and reporting requirements as Company may establish from time to time.

Expenses. Each Non-Employee Director will be eligible for reimbursement from the Company for all reasonable out-of-pocket expenses incurred by the Non-Employee Director in connection with his or her attendance at Board and Committee meetings.

Expenses. Except as otherwise provided in this Agreement, each of the parties will bear and pay all other costs and expenses incurred by it or on its behalf in connection with the transactions contemplated pursuant to this Agreement.

Expenses. The Seller shall pay its operating expenses and liabilities from its own assets.

Each party shall bear its own legal and other expenses with respect to the transactions contemplated by this Agreement; provided, however, the parties shall each pay one-half of the expenses of Escrow Agent. In any litigation, arbitration, or other proceeding by which one party either seeks to enforce its rights under this Agreement (whether in contract, tort, or both) or seeks a declaration of any rights or obligations under this Agreement, the prevailing party will be awarded reasonable attorney fees, together with any costs and expenses, to resolve the dispute and to enforce the final judgment. The term “prevailing party” means the party obtaining substantially the relief sought, whether by compromise, settlement or judgment.

Expenses. The Company shall pay all Registration Expenses in connection with the registration pursuant to Section 2(a) and 2(b) and, in the case of any Shelf Registration Statement, will reimburse the Holders for the reasonable fees and disbursements of one counsel (in addition to any local counsel) designated in writing by the Majority Holders to act as counsel for the Holders of the Registrable Securities in connection therewith; provided, however, that the Company shall not be responsible for reimbursement for the fees and disbursements of such counsel in an aggregate amount in excess of $10,000. Each Holder shall pay all fees and disbursements of its counsel other than as set forth in the preceding sentence or in the definition of Registration Expenses and all underwriting discounts and commissions and transfer taxes, if any, relating to the sale or disposition of such Holder’s Registrable Securities pursuant to a Shelf Registration Statement.
