#[[Organization A:Organization]] shall reimburse the Agent for all reasonable costs, internal charges and out of pocket expenses including reasonable expenses of and fees for attorneys for the Agent who are employees of the Agent and of a single outside counsel for the Agent paid or incurred by the Agent in connection with the preparation, negotiation, execution, delivery, syndication, review, amendment, modification and administration of the Loan Documents. [[Organization A:Organization]] agrees to reimburse the Agent and the [[Organization B:Organization]] for # all reasonable costs, internal charges and out of pocket expenses (including reasonable attorneys’ fees and time charges of attorneys for the Agent and the [[Organization B:Organization]], which attorneys may be employees of the Agent or any Lender) paid or incurred by the Agent or any Lender in connection with the collection and enforcement of the Obligations of [[Organization A:Organization]] under the Loan Documents (including in any “work-out” or restructuring of the Obligations of [[Organization A:Organization]] resulting from the occurrence of a Default) and # any civil penalty or fine assessed by OFAC against, and all reasonable costs and expenses (including reasonable counsel fees and disbursements) incurred in connection with defense thereof, by the Agent or any Lender as a result of conduct by [[Organization A:Organization]] that violates a sanction enforced by OFAC.

#[[Organization A:Organization]]The Borrower shall reimburse the Administrative Agent and [[Organization B:Organization]] for allany reasonable costs, internal charges and out of pocket expenses including reasonable expenses of and fees for attorneys for the Agent who are employees of the Agent and of a single outside counsel for the Agent paid or incurred by the Agent in connection with the preparation, negotiation, execution, delivery, syndication, review, amendment, modification and administration of the Loan Documents. [[Organization A:Organization]] agrees to reimburse the Agent and the [[Organization B:Organization]] for # all reasonable costs, internal charges and out of out-of-pocket expenses (including reasonable attorneys’ fees and time charges of attorneys for the Administrative Agent and any Lender, which attorneys may be employees of the Administrative Agent or a Lender) paid or incurred by the Administrative Agent or any Lender in connection with the preparation, negotiation, execution, delivery, syndication, distribution (including via the internet), review, amendment, modification, and administration of the Loan Documents. The Borrower also agrees to reimburse the Administrative Agent and [[Organization B:Organization]] for any reasonable costs, internal charges and out-of-pocket expenses (including reasonable attorneys’ fees and time charges of attorneys for the Administrative Agent and [[Organization B:Organization]], which attorneys may be employees of the Administrative Agent or anya Lender) paid or incurred by the Administrative Agent or any Lender in connection with the collection and enforcement of the Obligations of [[Organization A:Organization]] under the Loan Documents (including in any “work-out” or restructuring of the Obligations of [[Organization A:Organization]] resulting from the occurrence of a Default) and #Documents. The Borrower also agrees to pay any civil penalty or fine assessed by OFAC against, and all reasonable costs and expenses (including reasonable counsel fees and disbursements) incurred in connection with defense thereof, bythereof by, the Administrative Agent or any Lender as a result of conduct by [[Organization A:Organization]]of the Borrower that violates a sanction enforced by OFAC.

#[[Organization A:Organization]]PHI shall reimburse the Agent and each Arranger for all reasonable costs, internal charges and out of pocket expenses including reasonable expenses of and fees for attorneys for the Agent and each Arranger who are employees of the Agent or an Arranger and of a single outside counsel for all of the Agent and the Arrangers paid or incurred by the Agent or such Arranger in connection with the preparation, negotiation, execution, delivery, syndication, review, amendment, modification and administration of the Loan Documents. [[Organization A:Organization]]Each Borrower agrees to reimburse the AgentAgent, each Issuer, the Arrangers and the [[Organization B:Organization]]Lenders for # all reasonable costs, internal charges and out of pocket expenses (including reasonable attorneys’ fees and time charges of attorneys for the AgentAgent, each Issuer, the Arrangers and the [[Organization B:Organization]],Lenders, which attorneys may be employees of the AgentAgent, each Issuer, the Arrangers or anya Lender) paid or incurred by the AgentAgent, each Issuer, the Arrangers or any Lender in connection with the collection and enforcement of the Obligations of [[Organization A:Organization]]such Borrower under the Loan Documents (including in any “work-out” or restructuring of the Obligations of [[Organization A:Organization]]such Borrower resulting from the occurrence of a Default)Default with respect to such Borrower) and # any civil penalty or fine assessed by OFAC against, and all reasonable costs and expenses (including reasonable counsel fees and disbursements) incurred in connection with defense thereof, by the AgentAgent, each Issuer, or any Lender as a result of conduct by [[Organization A:Organization]]such Borrower that violates a sanction enforced by OFAC.

The Borrower also agrees to reimburse the Agent and the [[Organization B:A:Organization]], which for any costs and out of pocket expenses (including attorneys’ fees and time charges of attorneys may be employees offor the Agent or any Lender)and the [[Organization A:Organization]]) paid or incurred by the Agent or any Lender in connection with the collection and enforcement of the Obligations of [[Organization A:Organization]] under the Loan Documents (including inor any “work-out”refinancing or restructuring of the Obligations of [[Organization A:Organization]] resulting fromcredit arrangements provided under this Agreement in the occurrencenature of a Default) and # any civil penalty or fine assessed by OFAC against, and all reasonable costs and expenses (including reasonable counsel fees and disbursements) incurred in connection with defense thereof, by the Agent“work out” or any Lender as a resultinsolvency or bankruptcy proceedings in respect of conduct by [[Organization A:Organization]] that violates a sanction enforced by OFAC.the Borrower.
