Expenses. All costs and expenses incurred in connection with this Agreement and the transactions contemplated hereby, will be paid by the Party incurring such expense or as otherwise agreed to herein.

The Company will reimburse Warnke for all reasonable expenses incurred in the performance of his services to the Company as non-executive Chairman of the Board and the Other Services under this Agreement, subject to the same requirements for appropriate approval and documentation as is applicable generally to other non-employee members of the Board of Directors.

The Holder may deduct all such fees and expenses from the Purchase Price of the Note when funded.

During the Employment Period, the Executive shall be entitled to receive prompt reimbursement for all reasonable expenses incurred by the Executive in accordance with the most favorable policies, practices and procedures of the Company and the Affiliated Entities in effect for the Executive at any time during the 120-day period immediately preceding the Effective Date or, if more favorable to the Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company and the Affiliated Entities.

You acknowledge that one or more of the Commitment Parties may receive a benefit, including without limitation, a discount, credit or other accommodation, from any of such counsel based on the fees such counsel may receive on account of their relationship with us including, without limitation, fees paid pursuant hereto.
Expenses. Each party shall be responsible for its own expenses, including all legal and accounting fees with respect to transactions contemplated hereby, whether the transactions are consummated or that are not otherwise outlined in this Letter of Intent.
