Existing Term Loan Agreement. The Administrative Agent shall have received reasonably satisfactory evidence that, substantially concurrently with the funding of the Initial Term Loans hereunder, the Existing Term Loan Agreement shall be repaid in full and all Liens securing such Indebtedness shall have been released.

Existing Term Loan Advances. Concurrently with the closing of this Amendment, Agent shall have received evidence in form and substance satisfactory to it that the Existing Term Loan Advances have been refinanced in full as contemplated in Exhibit A.

Termination of Existing Term Loan Credit Agreement. In connection with the delivery of evidence of termination of the Existing Term Loan Credit Agreement required as a condition to the effectiveness of this Agreement pursuant to [Section 4.01(a)(x)], each of the Lenders, upon delivery of such evidence, in its capacity as a Lender under the Existing Term Loan Credit Agreement, waives any notice requirement under the Existing Term Loan Credit Agreement with which the Borrowers would otherwise be obligated to comply in order to terminate the Existing Term Loan Credit Agreement.

Terms Defined in Existing Term Loan Agreement. All capitalized terms used in this Agreement (including in the recitals hereof) and not otherwise defined herein shall have the meanings assigned to them in the Existing Term Loan Agreement.

Amendment to Existing Term Loan Credit Agreement Borrower shall have entered into an amendment to the Existing Term Loan Credit Agreement which shall be in form and substance satisfactory to the Administrative Agent

Amendments to the Existing Term Loan Agreement. Effective as of the Amendment No. 1 Effective Date, [Section 2.06(a)] of the Existing Term Loan Agreement is amended by adding the following five (5) sentences at the end thereof:
