No Conflict with Existing Obligations. Employee represents that Employee’s performance of all the terms of this Agreement and as an Employee of the Company do not and will not breach any agreement or obligation of any kind made prior to Employee’s employment by the Company, including agreements or obligations Employee may have with prior employers or entities for which Employee has provided services. Employee has not entered into, and Employee agrees that Employee will not enter into, any agreement or obligation, either written or oral, in conflict herewith.

Existing Premises. Tenant shall continue to pay Base Rent with respect to the Existing Premises as provided for under the Lease through March 31, 2021. Commencing on April 1, 2021, Tenant shall pay Base Rent for the Existing Premises in the amount of $34.00 per rentable square foot of the Existing Premises per year. Base Rent payable with respect to the Existing Premises shall increase on April 1, 2022, and on each April 1st thereafter through the Extended Expiration Date (as defined below in Section 5) (each, an “Existing Premises Adjustment Date”) by multiplying the Base Rent payable with respect to the Existing Premises immediately before such Existing Premises Adjustment Date by 3% and adding the resulting amount to the Base Rent payable with respect to the Existing Premises immediately before such Existing Premises Commencement Date.

Existing Definitions. [Section 1.01] of the Financing Agreement is hereby amended by amending and restating the following definitions in their entirety to read as follows:

Existing Premises. Notwithstanding anything to the contrary in the Lease Tenant shall continue to pay to Landlord monthly installments of Base Rent for the Existing Premises in accordance with the terms of the Lease.

Existing Indebtedness. All existing Indebtedness of the Borrower and its Subsidiaries (excluding Indebtedness permitted pursuant to Section 8.1) shall be repaid in full, all commitments (if any) in respect thereof shall have been terminated and all guarantees therefor and security therefor shall be released, and the Administrative Agent shall have received pay-off letters in form and substance satisfactory to it evidencing such repayment, termination and release.

Existing Indebtedness. The Borrower and its Subsidiaries shall have # paid all accrued and unpaid interest and fees on the loans outstanding under the Existing Credit Agreement to the Closing Date, # prepaid any loans outstanding under the Existing Credit Agreement to the extent necessary to keep the outstanding Loans ratable with the revised Commitments as of the Closing Date, and # paid all accrued fees owing to the lenders under the Existing Credit Agreement to the Closing Date.

Existing Premises. Notwithstanding anything to the contrary in the Lease as hereby amended, prior to May 1, 2023, Tenant shall continue to pay Base Rent for the Existing Premises in accordance with the terms of the Lease. Commencing on May 1, 2023, and continuing throughout the Expansion Term, Tenant shall pay to Landlord monthly installments of Base Rent for the Existing Premises as follows:

Existing Premises. Tenant shall continue to pay Tenant's Share of Direct Expenses in connection with the Existing Premises in accordance with the terms of the Lease.

Existing Definitions. Terms used herein without further definition shall have the same meanings ascribed to them as in the Original Agreement.

Existing Actions. The Company severally agrees to indemnify Indemnitee against all expenses (including reasonable attorneys' fees), judgments, liabilities, amounts paid in settlement (if such settlement is approved in advance by the Company, which approval shall not be unreasonably withheld), amounts paid in respect of any deductible under any policy of directors' and officers' insurance, and fines and penalties (other than fines and penalties for which indemnification is not permitted by applicable law) actually and reasonably incurred by Indemnitee in connection with any action or proceeding, whether civil, criminal, administrative or investigative, pending or threatened on the date hereof.
