I accept and agree to the provisions of this Agreement and its Exhibits.

This Agreement, together with the exhibits and schedules thereto, contain the entire understanding of the parties with respect to the subject matter hereof and supersede all prior agreements and understandings, oral or written, with respect to such matters, which the parties acknowledge have been merged into such documents, exhibits and schedules.

The various terms which are italicized and defined in other Articles of this lease or are defined in Exhibits annexed hereto, shall have the meanings specified in such other Articles and such Exhibits for all purposes of this lease and all agreements supplemental thereto, unless the context shall otherwise require.

The following Exhibits and Addenda are attached hereto and incorporated herein by this reference:

“Agreement” means this Securities Purchase Agreement, including all Exhibits, Schedules and other attachments hereto.
