Exhibits Incorporated. All Exhibits attached hereto are hereby incorporated into this Agreement.

Plan Incorporated by Reference. This option is issued pursuant to the terms of the Plan and may be amended as provided in the Plan. Capitalized terms used and not otherwise defined in this certificate have the meanings given to them in the Plan. This certificate does not set forth all the terms and conditions of the Plan, which are incorporated herein by reference. The Committee administers the Plan and its determinations regarding the operation of the Plan are final and binding. Copies of the Plan may be obtained upon written request without charge from the Company.

Plan Incorporated By Reference. Notwithstanding anything to the contrary anywhere else in this Option Agreement, this grant of an Option is subject to the terms, definitions, and provisions of the Plan, which is incorporated herein by reference.

Section # Exhibits Incorporated by Reference.

Incorporation of Recitals and Exhibits. The Recitals and Exhibits to this Agreement are incorporated into this Agreement by this reference as if fully set forth herein.

11.10All of the Exhibits to this Settlement Agreement are material and integral parts hereof and are fully incorporated herein by reference.

Incorporation by Reference. All exhibits and addenda attached hereto are hereby incorporated into this Lease and made a part hereof. If there is any conflict between such exhibits or addenda and the terms of this Lease, such exhibits or addenda shall control.

“Agreement” means this “Assignment Agreement with Contingent Right of Reverter,” including all exhibits and schedules, all of which are incorporated by this reference.

“Prospectus” means the final base prospectus filed for the Shelf Registration Statement, including all information, documents and exhibits filed with or incorporated by reference into such base prospectus.
