Remedies. If an Event of Default shall have occurred and be continuing, the Administrative Agent shall be entitled to exercise with respect to the Collateral all of its rights, powers and remedies provided for herein or otherwise available to it under any other Loan Document, by law, in equity or otherwise, including all rights and remedies of a secured party under the Uniform Commercial Code, and shall be entitled in particular, but without limitation of the foregoing, to exercise the following rights, which each Grantor agrees to be commercially reasonable:

Upon the occurrence of any Event of Default and while such Event of Default shall have occurred and be continuing, the Administrative Agent shall be entitledhave, in addition to exercise with respect to the Collateral all of its rights, powers and remedies provided for herein or otherwise available to it under any other Loan Document, by law, in equity or otherwise, including all rights and remedies of a secured party under the Uniform Commercial Code,Code or other applicable Law, and shall be entitled in particular, but without limitation ofaddition to its rights under [Section 6] above and under the foregoing, to exerciseother Loan Documents, the following rights, which each Grantor agrees to be commercially reasonable:rights and remedies:

At any time an Event of Default shall haveexists or has occurred and beis continuing, the Administrative Agent and Lenders shall be entitled to exercise with respect to the Collateral all of its rights, powers and remedies provided for herein or otherwise available to it under any other Loan Document, by law, in equity or otherwise, includinghave all rights and remedies provided in this Agreement, the other Financing Agreements, the UCC and other applicable law, all of a secured partywhich rights and remedies may be exercised without notice to or consent by any Borrower or Obligor, except as such notice or consent is expressly provided for hereunder or required by applicable law. All rights, remedies and powers granted to Administrative Agent and Lenders hereunder, under any of the Uniform Commercial Code,other Financing Agreements, the UCC or other applicable law, are cumulative, not exclusive and enforceable, in Administrative Agent’s discretion, alternatively, successively, or concurrently on any one or more occasions, and shall be entitled in particular, butinclude, without limitationlimitation, the right to apply to a court of equity for an injunction to restrain a breach or threatened breach by any Borrower or Obligor of this Agreement or any of the foregoing,other Financing Agreements. Subject to exercise[Section 12] hereof, Administrative Agent may, and at the following rights, which each Grantor agreesdirection of the Required Lenders shall, at any time or times, proceed directly against any Borrower or Obligor to be commercially reasonable:collect the Obligations without prior recourse to the Collateral.

Section # Remedies. If anUpon the occurrence of any Event of Default, and at any time thereafter, if any Event of Default shall have occurred andthen be continuing, the Administrative Agent shall be entitled to exercise with respectshall, upon the written request of the Required Lenders, by written notice to the CollateralBorrower, take any or all of the following actions, without prejudice to the rights of the Administrative Agent or any Lender to enforce its rights, powers and remedies provided for hereinclaims against the Borrower or otherwise available to it under any other Loan Document, by law,Credit Party in equity or otherwise, including all rights and remedies of a secured partyany manner permitted under the Uniform Commercial Code, and shall be entitled in particular, but without limitation of the foregoing, to exercise the following rights, which each Grantor agrees to be commercially reasonable:applicable law:
