Exempt Salaried Employee. Effective December 1, 2015, severance payments for an eligible exempt Salaried Employee shall be determined on the basis of the Salaried Employee’s grade level on the date of employment termination as set forth below; provided, however, that no exempt Salaried Employee shall receive more than the maximum total amount of severance pay applicable to his or her grade level regardless of the number of his or her Years of Service.

salaried exempt Employees at the Mobile Facility;

As an exempt salaried employee, you will be expected to work the Company’s normal business hours as well as additional hours as required by the nature of your work assignments, and you will not be eligible for overtime compensation.

You will continue to work in the role of Chief Medical Officer, reporting to the Company’s Chief Executive Officer. As an exempt salaried employee, you may be expected to work additional hours as required by the nature of your work assignments.

Exempt Transactions. The following transactions shall be exempt from the provisions of this Section 4:

in a lump sum payment on the first regular Company payroll date for salaried exempt employees to occur in April of the calendar year following the first anniversary of the Participant’s Separation from Service, or

Bolthouse Farms and Garden Fresh Gourmet Employee. Notwithstanding the foregoing and any provision of the Plan to the contrary, severance payments for eligible exempt Salaried Employees of Wm. Bolthouse Farms, Inc., Garden Fresh Gourmet, LLC, and Garden Fresh Gourmet Foods, Inc. who have not yet been designated with an applicable grade level shall be deemed a grade level F on his or her date of employment termination until such applicable grade level designation is made.

Salaried Employee shall not include an employee who is classified as a temporary employee, or whose employment by the Company is covered by a written employment contract. Salaried Employee shall also not include a person who is retained as an independent contractor, persons who the Company does not consider to be employees, or other similarly situated individuals regardless of whether the individual is a common law employee of the Company.

“Deferred Stock Participant” means a Director who is not a salaried employee of the Company.

You will be responsible for duties as are ordinary, customary and necessary in the President and Chief Operating Officer role, as your manager may direct you. You shall report to the Chief Executive Officer, currently Steve Daly. As an exempt salaried employee, you will be expected to work additional hours as required by the nature of your work assignments. Of course, ​ may change your position, duties, hours, and work location from time to time at its discretion.
