Execution of Credit Agreement; Loan Documents. Agent shall have received # counterparts of this Agreement, executed by a Responsible Officer of each Loan Party and a duly authorized officer of each Lender, # for the account of each Lender requesting a Note, a Note executed by a Responsible Officer of Borrower, # counterparts of each Security Agreement, each Pledge Agreement, and any other documents and instruments required by Agent in connection therewith, and each other Collateral Document required by Agent to be delivered on the Closing Date, executed by a Responsible Officer of the applicable Loan Parties and a duly authorized officer of each other Person party thereto, as applicable and # counterparts of any other Loan Document, executed by a Responsible Officer of the applicable Loan Party and a duly authorized officer of each other Person party thereto.

Execution of Credit Agreement; Loan Documents. The Lender shall have received # counterparts of this Agreement, executed by a Responsible Officer of each Loan Party, # counterparts of the Security Agreement and each other Collateral Document required to be executed on the Closing Date, executed by a Responsible Officer of the applicable Loan Parties and a duly authorized officer of each other Person party thereto, as applicable and # counterparts of any other Loan Document, executed by a Responsible Officer of the applicable Loan Party and a duly authorized officer of each other Person party thereto.

. The Agent shall have received this Agreement, executed and delivered by a duly authorized officer of the Borrower, each Lender and the Agent.

Credit Documents. Administrative Agent shall have received the following documents, duly executed by an Authorized Officer of each applicable Credit Party and each other relevant party:

Credit Documents. This Agreement, the Notes and all other Credit Documents duly and properly executed by the parties thereto;

Credit Documents. The Borrower has the capacity, corporate power, legal right and authority to borrow from the Lender, to guarantee payment to the Lender of those Obligations if required, perform its obligations under this Agreement and provide the Security required to be provided by it hereunder. Each other Loan Party has the capacity, corporate power, legal right and authority to guarantee payment of the Lender of the Obligations and to provide the Security required to be provided by it hereunder. The execution and delivery of the Credit Documents by the Loan Parties, as the case may be, and the performance of their respective obligations therein have been duly authorized by all necessary corporate and, if required, shareholder actions. This Agreement and the other Credit Documents have been duly executed and delivered by the Loan Parties, as the case may be, and constitute legal, valid and binding obligations of the Loan Parties, as the case may be, enforceable against them in accordance with their terms and provisions thereof, subject to laws of general application affecting creditors’ rights and the discretion of the court in awarding equitable remedies.

Credit Documents. Administrative Agent shall have received sufficient copies of this Agreement, the Fee Letter, promissory notes, if any are requested, the Security Agreement, any Intellectual Property Security Agreement and each other Credit Document to be dated as of the Closing Date, in each case as Administrative Agent shall request, in form and substance satisfactory to Administrative Agent, and originally executed and delivered by each applicable Credit Party and each other Person party thereto.
