Counterparts; Execution. This Fifth Amendment may be executed in counterparts, and all parties need not execute the same counterpart; however, no party shall be bound by this Fifth Amendment until all Borrowers, all Guarantors, the Reallocating Lenders and the Agent have executed a counterpart. This Fifth Amendment may be executed in any number of counterparts, each of which when so executed shall be deemed an original, but all such counterparts shall constitute one and the same instrument, and all partiessignatures need not appear on any one counterpart. Any party hereto may execute the same counterpart; however, no party shall be bound byand deliver a counterpart of this Fifth Amendment until all Borrowers, all Guarantors, the Reallocating Lenders and the Agent have executed a counterpart. Facsimilesby delivering by facsimile or other electronic transmissions (e.g., .pdf)transmission a signature page of this Fifth Amendment signed by such party, and any such facsimile or other electronic signature shall be effectivetreated in all respects as originals.having the same effect as an original signature. Any party delivering by facsimile or other electronic transmission a counterpart executed by it shall promptly thereafter also deliver a manually signed counterpart of this Fifth Amendment; provided that the failure to deliver such manually signed counterpart shall not affect the validity or effectiveness of this Fifth Amendment.
